Principal Commissioner of Income Tax 2, vs. Equitas Holding Pvt Ltd.,
What did the High Court hold?
The High Court dismissed the appeal filed by the Revenue. The dismissal was based on the submission by the Revenue's counsel that the appeal was not being pursued due to low tax effect, as per CBDT Circular No. 17/2019. This circular increased the monetary limit for filing appeals before the High Court to Rs. 1 Crore, and the tax effect in this case was below that threshold. Consequently, the substantial questions of law framed by the Revenue were left open. The Court granted liberty to the Revenue to file an application to restore the appeal if the tax effect is found to be above the threshold limit, for it to be heard and decided on merits. No costs were awarded.
What were the facts?
The Revenue, Principal Commissioner of Income Tax 2, Corporate Circle – 2(1), Chennai, filed a Tax Case Appeal under Section 260-A of the Income Tax Act, 1961, against an order dated 13.02.2017 passed by the Income Tax Appellate Tribunal (ITAT), Chennai 'C' Bench. The appeal pertains to Assessment Year 2012-13 and challenges the ITAT's decision regarding disallowance under Section 14A. The assessee is M/s. Equitas Holding Pvt Ltd. The appeal was filed against the ITAT's order in I.T.A.No.1424/Mds/2016.
What were the issues?
The Tribunal had to decide the following substantial questions of law: 1. Whether the ITAT was correct in holding that investment made in subsidiary companies is not liable for disallowance under Section 14A, even though the section and Rule 8D do not provide for such an exception. 2. Whether the ITAT was correct in holding that when the assessee made investments in subsidiary companies, the intention was commercial expediency rather than earning exempt income. 3. Whether the ITAT was correct in not appreciating CBDT Circular No. 5/2014, which clarifies that disallowance under Section 14A read with Rule 8D must be made even if no exempt income was earned in a particular year. The Revenue argued that Section 14A and Rule 8D do not provide exceptions for investments in subsidiaries and that the CBDT circular mandates disallowance even without exempt income. The assessee's arguments are not recorded in the judgment.
