COMMISSIONER OF INCOME TAX vs. TEREX INDIA PVT LTD
What did the High Court hold?
The High Court noted that during the pendency of the appeals, the assessee had availed the benefit of the Direct Tax Vivad Se Vishwas Act, 2020, and had filed necessary declarations, which were accepted. A Form-5/order for full and final settlement of tax arrears was issued to the assessee on 24.11.2021. This subsequent development was fairly conceded by the learned Standing Counsels appearing for the appellant/Revenue. In view of this subsequent development, the High Court was of the opinion that nothing survived for adjudication in these appeals. The appeals were disposed of based on the submissions made by the learned counsel on either side. No costs were awarded. The specific questions of law were not adjudicated on merits.
What were the facts?
These Tax Case Appeals (T.C.A.Nos.928 & 929 of 2019) were filed by the Commissioner of Income Tax (Appellant/Revenue) against Terex India Private Limited (Respondent/Assessee) for the assessment year 2011-12. The appeals challenged a common order dated 26.03.2019 passed by the Income Tax Appellate Tribunal (ITAT) 'I-2', New Delhi, in I.T.A.Nos.6775/Del/2015 and 6783/Del/2015. The High Court admitted these appeals on five substantial questions of law. However, during the pendency of the appeals, the assessee availed the benefit of the Direct Tax Vivad Se Vishwas Act, 2020, and filed necessary declarations, which were accepted. A Form-5/order for full and final settlement of tax arrears was issued to the assessee on 24.11.2021. This subsequent development was conceded by both the assessee and the revenue.
What were the issues?
The High Court was to decide five substantial questions of law: 1. Whether the ITAT was right in upholding the DRP's decision to exclude Global Procurement Consultant Ltd as a comparable in the Business Support Services Segment, given it is not a 100% government-owned company? 2. Whether the ITAT was right in confirming the DRP's decision to selectively screen three comparables in the Engineering Design Support Services Segment, when they are not 100% government-owned companies? 3. Whether the ITAT was right in directing the TPO to exclude seven comparables in the Engineering Design Support Services Segment, when their FAR was similar to the assessee's, as confirmed by the DRP? 4. Whether the ITAT was legally correct in directing the TPO to restrict the adjustment on account of capacity to material purchased from the AE and consumed during the year, when such an adjustment is not permissible under Transfer Pricing regulations? 5. Whether the ITAT was right in holding that the loss of Rs.2,04,92,202/- arising from foreign exchange fluctuation on the purchase of capital assets is a revenue expenditure? Assessee's contention: The assessee submitted that it had availed the benefit under the Direct Tax Vivad Se Vishwas Act, 2020, leading to a full and final settlement of tax arrears. Revenue's contention: The revenue fairly conceded the submission made by the assessee regarding the settlement under the Vivad Se Vishwas Act.
