THE COMMISSIONER OF INCOME vs. M/S REDINGTON INDIA LTD
What did the High Court hold?
The High Court noted that the assessee had filed a declaration under the Vivad Se Vishwas Scheme on 28.12.2020 and was awaiting orders. In light of this subsequent event, the Court directed the Competent Authority to process the application under the Direct Tax Vivad Se Vishwas Act, 2020, and pass appropriate orders expeditiously. The assessee was granted liberty to restore the appeal if the ultimate decision on their declaration was not in their favour. Consequently, the substantial questions of law framed for the appeal were left undecided. The appeal was disposed of with the aforementioned liberty, and no costs were imposed.
What were the facts?
The Revenue, Commissioner of Income Tax, Chennai, filed an appeal under Section 260A of the Income Tax Act, 1961, against the order dated 23.9.2016 passed by the Income Tax Appellate Tribunal (ITAT), Chennai, in ITA No.959/Mds/2015 for the assessment year 2010-11. The appeal was admitted on 17.6.2019, raising substantial questions of law concerning the allowability of trademark license fees paid to an associate enterprise, the classification of a corporate bank guarantee as an international transaction, and the exclusion of investment in a subsidiary for calculating disallowance under Section 14A read with Rule 8D(2). During the pendency of the appeal, the assessee, M/s. Redington India Ltd., filed a declaration under the Vivad Se Vishwas Scheme on 28.12.2020.
What were the issues?
The Tribunal was required to decide the following substantial questions of law: 1. Whether the ITAT's order allowing the claim of trademark license fee paid by the assessee to its associate enterprise was perverse, given that the associate enterprise was not the registered owner of the trademark. 2. Whether the ITAT was correct in allowing the trademark claim when the assessee had been using the trademark since 1993, but the associate enterprise was formed only in 2005. 3. Whether the ITAT was correct in holding that the corporate bank guarantee given by the assessee to its associate enterprise was not an international transaction, particularly in light of the amended Explanation (c) to Section 92B of the Finance Act, 2012, which retrospectively included 'guarantee' within the purview of international transactions from 01.04.2012. 4. Whether investment made in a subsidiary company should be excluded for the purpose of calculating disallowance under Section 14A read with Rule 8D(2) of the Income Tax Rules, as no such exclusion is provided for in the Act. The Revenue contended that the ITAT's order was perverse regarding the trademark license fee. The assessee's arguments are not explicitly recorded in the judgment concerning these issues, other than the subsequent filing under the Vivad Se Vishwas Scheme.
