What did the High Court hold?

The Rajasthan High Court, Bench at Jaipur, disposed of the writ petition by directing the release of the TDS refund forthwith. The Court acknowledged that the issue was covered by the Supreme Court's judgment in Bharti Cellular Limited (Now Bharti Airtel Limited) Vs. Assistant Commissioner of Income Tax, Circle 57, Kolkata and another. The Supreme Court had held that assessees are not obligated to deduct tax at source on the income/profit component in payments received by distributors/franchisees from third parties/customers, or while selling/transferring prepaid coupons or starter kits to distributors, and that Section 194H of the Act is not applicable. The High Court upheld the ITAT's order which was in line with this Supreme Court ruling. The Court left it open for the department to pursue any separate demands against the petitioner and for the petitioner to defend against such demands.

What were the facts?

The petitioner, M/s. Vodafone Idea Limited, filed a writ petition before the Rajasthan High Court at Jaipur. The petition challenged actions of the Deputy Commissioner of Income Tax (TDS) and other revenue authorities. The core issue revolved around the taxability of discounts offered by the assessee to its distributors for prepaid services. The petitioner argued that this discount was not commission or brokerage under Section 194H of the Income Tax Act. The revenue authorities had taken a contrary view, seeking to tax this amount. The procedural history indicates that the issue was pending before the High Court, with a refund application also filed by the petitioner.

What were the issues?

1. Whether the discount offered by the assessee (Vodafone Idea Limited) to its distributors for prepaid services constitutes 'commission or brokerage' as envisaged under Section 194H of the Income Tax Act, 1961, thereby requiring the assessee to deduct tax at source (TDS)? Assessee's Contention: The assessee argued that the discount provided to distributors for prepaid services is not commission or brokerage under Section 194H. They relied on the Supreme Court judgment in Bharti Cellular Limited (Now Bharti Airtel Limited) Vs. Assistant Commissioner of Income Tax, Circle 57, Kolkata and another. Revenue's Contention: The revenue contended that Section 194H of the Income Tax Act is applicable, implying that the discount should be treated as commission or brokerage subject to TDS. They also raised the issue of adjusting potential outstanding demands against the refund sought by the petitioner.

Which sections of the Income-tax Act were involved?

The appeals filed by the Revenue challenging the judgments of High Courts of Rajashtan, Karnataka and Bombay are dismissed. There would be no orders as to cost. However, the petitioner opposes the same and submits that so far as the demand is concerned, the same is not admitted and if the department has any claims, they can pursue the same separately. 4. Leaving it open to the department to pursue their demands, if any, and also leaving it open to the petitioner to defend themselves relating to that demand in terms of order passed by Hon’ble Supreme Court in the case of Bharti Cellular (supra), we direct that the refund relating to the TDS shall be released forthwith. 5.
