The brief facts of case are that the applicant filed application for registration u/s 12A(1)(ac)(ii) of the Act on 24.09.2025. Previously, an application for approval u/s 80G(5)(ii) of the Act was filed by applicant on 06.08.2025. A questionnaire was issued on 08.09.2025 for furnishing of documents/details online. The applicant filed reply on 23.09.2025. On completion of proceedings, Ld. CIT(E) vide order dated 09.12.2025 rejected application for grant of registration u/s 12A(1)(ac)(ii) of the Act. 3. Being aggrieved appellant/assessee preferred present appeal on following grounds: “1. That on the fact and circumstances of the case and in law, the impugned order dated 09.12.2025 in form 10AD passed by Commissioner of Income Tax Exemptions, Chandigarh ['CIT(E)"] rejecting/dismissing the application for registration under section 12AB of the Income Tax Act, 1961 ['the Act'] is illegal and bad in law. 2. That the Learned CIT(E) erred in law and on facts in rejecting the application for registration under section 12AB despite the Appellant having genuine and charitable objects of promotion of education. 3. That the Learned CIT(E) failed to appreciate that donation made to a charitable institution duly registered under section 12A, which utilizes such donation for promotion of education, constitutes a legitimate charitable activity and valid application of income. 4. That the Learned CIT(E) erred in treating inter-charitable donations as non- genuine activities without any finding of diversion of funds or violation of sections 11, 12 or 13 of the Act. 5. That the Learned CIT(E) erred in law in rejecting the application solely on the ground that the Appellant did not carry out substantial charitable activities during the relevant period, ignoring the settled legal position that registration under section 12AB cannot be denied merely because activities are yet to be commenced or are at a preparatory stage. 6. That the Learned CIT(E) failed to consider that the Appellant is an old educational entity which had been running educational institutions in earlier

years and was, during the relevant period, in a preparatory and consolidation stage with a clear intention to undertake charitable and educational activities in future. 7. That the Learned CIT(E) erred in treating accumulation of funds and creation of fixed deposits as adverse factors, whereas accumulation of income is expressly permitted under section 11 of the Act and does not render the activities non-genuine. 8. The Learned CIT has objected to the claim of legal charges on the ground that the appellant has made payments to a legal firm. In this regard, the appellant respectfully submits that the said payments were made to the legal firm engaged for rendering professional services such as legal advice, drafting and vetting of documents, compliance-related matters, and representation, which were necessary and incidental to the functioning and administration of the appellant. The services were rendered in the normal course of activities, and the payments were made against duly raised invoices. 9. That the Learned CIT(E) travelled beyond the limited scope of section 12AB by making observations on alleged group structures, historical disputes and presumed motives, which are wholly irrelevant for deciding an application for registration. 10. That the impugned order is violative of the principles of natural justice, being based on suspicion and assumptions rather than objective evaluation of the Appellant's objects and activities. 11. That the Appellant craves leave to add to, amend or alter any of the above grounds at the time of hearing.”
