M/s. Bright Town Investment Advisor Private Limited vs. The Income Tax Officer
What did the High Court hold?
The High Court allowed the writ petition. The Court held that the proceedings initiated under Section 148A(d) and the consequential notice under Section 148 of the Income Tax Act, 1961, were bad in law because they were issued against a non-existing company, M/s. WSS Estates Private Limited, which had been dissolved and merged with the petitioner. The Court relied on the consistent view of the Supreme Court and various High Courts, specifically referencing the decisions in PCIT v. Maruti Suzuki India Limited, SLSA INDIA (P) LTD. v. Deputy Commissioner of Income Tax, and Spice Infotainment. The impugned notice and all consequential proceedings were set aside. However, the Department's right to initiate appropriate proceedings against the merged company (the petitioner) was reserved. The petitioner was also granted the right to represent and contest any future proceedings on merits.
What were the facts?
The petitioner, M/s. Bright Town Investment Advisor Private Limited, is the transferee and successor company to M/s. WSS Estates Private Limited. M/s. WSS Estates Private Limited was dissolved and merged with the petitioner through a scheme of amalgamation approved by the National Company Law Tribunal on September 25, 2019. The amalgamation was effective from March 31, 2018, with all assets, liabilities, and legal proceedings of the transferor company transferring to the petitioner. The Income Tax Officer, Ward - 17(1), Hyderabad, issued an order under Section 148A(d) of the Income Tax Act, 1961, and a notice under Section 148 of the Act on March 27, 2023, for assessment year 2019-20, against the dissolved entity, M/s. WSS Estates Private Limited. The petitioner challenged these actions as illegal and arbitrary.
What were the issues?
1. Whether the order passed by the Income Tax Officer under Section 148A(d) of the Income Tax Act, 1961, and the consequential notice issued under Section 148 of the Act for assessment year 2019-20 against a dissolved entity (M/s. WSS Estates Private Limited) are illegal, arbitrary, and without application of mind, violating judgments of the High Courts and the Supreme Court. Assessee's Contention: The assessee argued that since M/s. WSS Estates Private Limited had been dissolved and merged with the petitioner, proceedings could not be initiated against a non-existent entity. They relied on the judgments of this High Court in M/s. Virchow Drugs Limited v. The Income Tax Officer and Nunhems India Private Limited v. The Deputy Commissioner of Income Tax, which in turn relied on Supreme Court decisions. Revenue's Contention: The judgment does not record any specific arguments made by the revenue.
