MPS TECHNOLOGIES LTD. vs. THE ASST. COMMISSIONER OF
What did the High Court hold?
The High Court disposed of the appeal in light of the assessee filing a declaration under the Vivad Se Vishwas Scheme, 2020. The Court directed the Competent Authority to process the application expeditiously. The assessee was granted liberty to restore the appeal if the decision on its declaration under the Vivad Se Vishwas Act was not in its favour. Consequently, the substantial questions of law framed for the appeal were left undecided. No costs were awarded. The operative direction was to dispose of the appeal with liberty to restore, leaving the substantial questions of law open.
What were the facts?
The assessee, MPS Technologies Limited, filed an appeal before the High Court of Judicature at Madras against an order dated 14.02.2017 passed by the Income Tax Appellate Tribunal (ITAT), Chennai. The appeal pertains to the assessment year 2007-08. The substantial questions of law were admitted on 10.12.2018. During the pendency of the appeal, the assessee filed a declaration under the Vivad Se Vishwas Scheme on 29.01.2021 and was awaiting orders. The High Court noted this subsequent event and disposed of the appeal based on it.
What were the issues?
The High Court was to decide five substantial questions of law. 1. Whether the Tribunal erred in concluding that the appellant is a KPO Company, contrary to Rule 10TA and the evidence on record? 2. Whether the Tribunal was justified in not appreciating that the appellant's functions fall under the definition of a BPO as per Rule 10TA? 3. Whether the Tribunal erred in upholding the inclusion of Eclerx Services Limited as a comparable, violating Rule 10B(2) which mandates functionally similar companies? 4. Whether the Tribunal was justified in upholding Eclerx Services Limited's inclusion without adjudicating on the ground that it had abnormal revenue growth and high profits, making it non-comparable under Rule 10B(2)? 5. Whether an adjustment for start-up costs, as claimed by the appellant under Rule 10B(i)(e) and Rule 10B(3), is legally warranted for determining the arm's length price under TNMM? The assessee contended that its functions fall under BPO and not KPO, and that Eclerx Services Limited should not be a comparable due to abnormal growth and profits. The revenue's contentions are not explicitly recorded in the judgment.
