What did the High Court hold?

The High Court noted that the assessee had filed a declaration under the Vivad Se Vishwas Scheme, 2020. Consequently, the Court directed the Competent Authority to process the application/declaration under the Direct Tax Vivad Se Vishwas Act, 2020, and pass appropriate orders expeditiously. The assessee was granted liberty to restore the appeal if the decision on their declaration was not in their favour. In such an event, the Registry was directed to entertain the restoration petition without insisting on a condonation of delay application. The appeal was disposed of with this liberty, and the substantial questions of law were left open, meaning they were not decided on merits.

What were the facts?

The Revenue, Commissioner of Income Tax, Chennai, filed an appeal under Section 260A of the Income Tax Act, 1961, against an order dated February 17, 2017, passed by the Income Tax Appellate Tribunal (ITAT), Madras 'C' Bench. The appeal pertains to the assessment year 2007-08 and concerns M/s. Caterpillar India Private Limited. The ITAT's order had allowed the deduction of ESOP expenses and made a specific finding regarding book profits under Section 115JB. During the pendency of the appeal before the High Court, the assessee filed a declaration under the Vivad Se Vishwas Scheme, 2020.

What were the issues?

1. Whether the Tribunal was correct in allowing the deduction of ESOP expenses, particularly when the scheme benefited only three individuals and was allegedly a colorable device for tax evasion? (Question of law) 2. Whether, for computing book profits under Section 115JB, a provision made for wealth-tax should be added back to book profits as per Explanation 1(a)(i) to Section 115JB, on the grounds that it is an unascertained liability? (Question of law) Assessee's contention: The assessee submitted that it had filed a declaration under the Vivad Se Vishwas Scheme and was awaiting orders. Revenue's contention: The judgment does not record any specific contentions made by the Revenue regarding the substantial questions of law raised, beyond the fact that they have been appealed.
