THE COMMISSIONER OF INCOME T vs. RENTOKIL INDIA PVT LTD
What did the High Court hold?
The High Court dismissed the appeals filed by the Revenue on account of low tax effect, in terms of CBDT Circular No. 17/2019. The Court noted the submission by the Revenue's learned Senior Standing Counsel that the tax effect in these cases was below the threshold limit of Rs. 1 Crore for filing or pursuing appeals before the High Court. Consequently, the substantial questions of law framed were left open. The Revenue was granted liberty to mention the case to the Court for restoration if the tax effect was found to be above the threshold limit, to be heard and decided on merits. No decision was made on the merits of the substantial questions of law.
What were the facts?
The Revenue has filed these appeals against the order dated 26.07.2018 of the Income Tax Appellate Tribunal (ITAT), Chennai 'B' Bench. The appeals pertain to assessment years 2010-11 and 2014-15 and concern the assessee, M/s. Rentokil India Pvt Ltd. The dispute revolves around the ITAT's decision to allow the claim of depreciation on customer lists acquired through business transfer agreements. The Revenue is challenging this allowance, citing specific provisions of the Income Tax Act, 1961. The appeals were admitted on substantial questions of law. However, the Revenue later submitted that these appeals are not being pursued due to low tax effect, as per CBDT Circular No. 17/2019, which increased the monetary limit for appeals to Rs. 1 Crore.
What were the issues?
The Tribunal had to decide the following substantial questions of law: 1. Whether the Tribunal was right in allowing the claim of depreciation on customer lists acquired through business transfer agreements, when Section 32 of the Income Tax Act, 1961, does not include customer lists as either tangible or intangible assets eligible for depreciation? 2. Whether the claim of depreciation on customer lists acquired through business transfer agreements is allowable even if it is not binding on the customers of the acquired entities and no enduring arrangement exists with them? 3. Whether the Tribunal was right in allowing the claim of depreciation on customer lists when the business transfer agreements contained a non-compete clause, thereby precluding depreciation allowance? Arguments: Assessee: The judgment does not record specific arguments made by the assessee. The Tribunal's decision in favour of the assessee is implied by the Revenue's appeal. Revenue: The Revenue contended that customer lists are not eligible for depreciation under Section 32 of the Income Tax Act, 1961, as they are neither tangible nor intangible assets. They also argued that the lack of binding arrangements with customers and the presence of non-compete clauses in the agreements negate the eligibility for depreciation. The Revenue ultimately submitted that the appeals were not being pursued due to low tax effect, citing CBDT Circular No. 17/2019.
