SHRI SUDHAKAR NATARAJAN vs. THE DEPUTY COMMISSIONER OF I
What did the High Court hold?
The High Court noted that the assessee had filed a declaration under the Vivad Se Vishwas Scheme, 2020. Consequently, the Court directed the Competent Authority to process the application under the Direct Tax Vivad Se Vishwas Act, 2020, and pass appropriate orders expeditiously. The assessee was granted liberty to restore the appeal if the decision on their declaration was not in their favour. In such an event, the Registry was directed to entertain the restoration request without requiring a condonation of delay application. Due to this subsequent event and the liberty granted, the substantial questions of law framed for the appeal were left open and not adjudicated on merits. No costs were awarded.
What were the facts?
The assessee, Shri Sudhakar Natarajan, filed an appeal before the High Court of Judicature at Madras against an order dated April 25, 2019, passed by the Income Tax Appellate Tribunal (ITAT), Chennai Bench. The appeal pertained to the assessment year 2014-15. The assessee challenged the ITAT's decision regarding the allowability of a contribution/donation as business expenditure under Section 37(1) of the Income Tax Act, 1961, and also raised issues concerning the date of share transfer. During the pendency of the appeal, the assessee filed a declaration/undertaking under the Vivad Se Vishwas Scheme, 2020, and was awaiting orders.
What were the issues?
The Tribunal was to decide six substantial questions of law. The primary issues revolved around whether Section 37(1) of the Income Tax Act permits a claim for business expenditure in the form of a contribution/donation to an entity not approved under Section 35(1)(ii), especially when this fact was discovered later by the CBDT. Another question was whether such a claim, made alternatively due to the denial of weighted deduction under Section 35(1)(ii), was justified. The Tribunal was also asked to consider if it erred in distinguishing between donation and expenditure and if it should have adjudicated an alternative claim for business loss under Section 28. Finally, the Tribunal was to determine the correct date of share transfer, whether based on the share purchase agreement or statutory forms filed with the RBI, and if it was justified in ignoring evidence and remanding the issue to the Assessing Officer.

Whether the Appellate Tribunal is correct in law in rejecting the claim for business expenditure u/s 37(1) of the Act by erroneously distinguishing the concept of donation with the concept of expenditure in the Act while the claim for donation u/s 35(1)(ii) of the Act should be equated to a claim of business/revenue expenditure within the scope of Section 35(1)(ii) of the Act? 4. Whether the Appellate Tribunal is justified in not adjudicating the second alternative claim for revenue/business loss pertaining to the contribution/donation to the disputed entity/trust within the scope of Section 28 of the Act? 5. Whether the date of transfer of shares should be reckoned based on the share purchase agreement or based on the share transfer form in statutory transfer Form No.7B and Form FC-TRS filed before the Reserve Bank of India? 6.
