What did the High Court hold?

The High Court, in light of the submission by the Revenue regarding CBDT Circular No. 17/2019, dismissed the appeal as withdrawn. The circular mandates that appeals shall not be filed or pursued if the tax effect does not exceed Rs. 1,00,00,000/-. The Revenue confirmed that the tax effect in the present appeal was below this monetary limit. Therefore, the appeal was disposed of without a decision on the merits of the substantial questions of law. The court explicitly stated that the substantial questions of law remain open for determination in an appropriate case. No costs were awarded.

What were the facts?

The Revenue, represented by the Commissioner of Income Tax, Chennai, filed an appeal under Section 260A of the Income Tax Act, 1961, against an order dated 30.01.2020 passed by the Income Tax Appellate Tribunal (ITAT), Chennai, concerning assessment year 2015-16. The appeal challenged the ITAT's decision regarding losses incurred by the assessee, M/s. Samson Foundations, on fictitious transactions in penny stocks. The High Court admitted the appeal on substantial questions of law. Subsequently, the Revenue brought to the court's notice CBDT Circular No. 17/2019, which stipulates that appeals shall not be filed or pursued if the tax effect does not exceed Rs. 1,00,00,000/-. The Revenue submitted that the tax effect in this appeal was below this threshold.

What were the issues?

The High Court was to decide the following substantial questions of law: 1. Whether the Tribunal was correct in holding that the loss incurred by the assessee on fictitious penny stock transactions was genuine, given the lack of valid reasons for investment, absence of dividends, and no significant company developments in annual reports. 2. Whether the Tribunal should have applied the decisions of the Madras High Court in Manish D.Jain (HUF) and Ms. Tara Kumari, which upheld the Department's action in penny stock cases. 3. Whether the Tribunal was justified in not following the orders of a Co-ordinate Bench in Smt. Rekha Jain and Harish Kumar (HUF) cases, which were factually identical and involved no change in circumstances. The Revenue contended that the ITAT erred in treating the penny stock losses as genuine and that its decision was contrary to High Court precedents and co-ordinate bench orders. The assessee's arguments are not recorded in the judgment.
