AI SummaryAllowed

What did the Tribunal hold?

The Tribunal held that while there was no dispute that the company paid the assessee's self-assessment tax and that the assessee was a shareholder holding more than 40% equity in M/s. Vital Therapeutics Private Limited, the crucial fact was that the amount was repaid through the director's current account within the same financial year, leaving no debit balance at the year-end. The Tribunal found that these transactions, being in the ordinary course of business for self-assessment tax payment and repaid promptly within the financial year, could not be considered a loan or deposit within the meaning of Section 2(22)(e). The Tribunal respectfully followed the decision of the ITAT, Chennai Bench in V. Sriram (HUF) v. ACIT, which held that if loan transactions are in the ordinary course of business and squared up within the same financial year, they cannot be treated as loans or deposits under Section 2(22)(e). Consequently, the AO was not justified in treating the transaction as deemed dividend. The order of the CIT(A) was set aside, and the additions made by the AO were deleted.

What were the facts?

The assessee, an individual, filed his return of income for Assessment Year 2022-23 declaring a total income of Rs. 4,68,71,775/-. A search operation under Section 132 of the Income Tax Act, 1961, covered the assessee's case. During scrutiny, the Assessing Officer (AO) noted that the assessee, as Managing Director holding 40% shares in M/s. Vital Therapeutics Private Limited, received an advance of Rs. 27,10,000/- from the company for payment of self-assessment tax. The AO proposed to treat this advance as 'deemed dividend' under Section 2(22)(e). The assessee contended that the amount was adjusted against his current account and the balance became nil by year-end. The AO rejected this, treating it as deemed dividend. The Commissioner (Appeals) upheld the AO's order.

What were the issues?

1. Whether the amount of Rs. 27,10,000/- paid by M/s. Vital Therapeutics Private Limited towards the self-assessment tax of the assessee, who is a shareholder holding more than 40% shares, can be treated as 'deemed dividend' under Section 2(22)(e) of the Income Tax Act, 1961, despite being adjusted in the same financial year through the director's current account. Assessee's Contention: The learned counsel for the assessee argued that the amount was repaid within the same financial year through the current account, thus it cannot be treated as deemed dividend under Section 2(22)(e). Reliance was placed on the ITAT, Chennai Bench decision in V. Sriram (HUF) v. ACIT. Revenue's Contention: The learned CIT-DR for the Revenue argued that any loan or advance given by a company to its shareholder, if other conditions are satisfied, partakes the nature of 'deemed dividend' under Section 2(22)(e). The AO rightly treated the amount as deemed dividend. Reliance was placed on the Supreme Court decision in P. Sarada v. CIT.

आदेश / ORDER PER MANJUNATHA G., A.M : This appeal filed by the assessee is directed against the order of the learned Commissioner of Income Tax (Appeals) - 12, Hyderabad, dated 08.01.2026, pertaining to the assessment year 2022-23.

2.

The brief facts of the case are that, assessee, who is an individual, filed his return of income for the assessment year 2022-23 on 30.07.2022 declaring total income of Rs.4,68,71,775/-. A search and seizure operation under Section 132 of the Income Tax Act, 1961 was conducted in the case of M/s. Honer Group and others on 14.10.2022. As part of the search operation, the case of the assessee was also covered under Section 132 of the Act. Consequent to search, a case was selected for scrutiny and during the course of assessment proceedings, the Assessing Officer noticed that, the assessee is the Managing Director and called upon the assessee to submit the details of transactions with M/s. Vital Therapeutics Private Limited and M/s. Vital Therapeutics and Formulations Private Limited and to submit the copy of ledger account. On perusal of the submissions made by the assessee, the Assessing Officer noticed that, the

assessee is a Managing Director holding 40% shares in M/s. Vital Therapeutics Private Limited and holding 51.14% shares in M/s. Vital Therapeutics and Formulations Private Limited, and received an advance of Rs.27,10,000/- from M/s. Vital Therapeutics Private Limited for payment of self-assessment tax. Therefore, the A.O. called upon the assessee to explain as to why the provisions of Section 2(22)(e) of the Act, be invoked and the advance received from the company cannot be treated as ‘deemed dividend’. In response, the assessee submitted that, the company has paid self- assessment tax of the director for Rs.27,10,000/- and the same has been adjusted against the current account and in the end of the year, the account became nil and therefore, the provisions of Section 2(22)(e) of the Act, cannot be attracted.

3.

The A.O., after considering the submissions of the assessee and also taking note of the provisions of Section 2(22)(e) of the Act, observed that, the assessee is a shareholder, holding more than 40% shares in M/s. Vital Therapeutics Private Limited, and therefore, the advance received by the assessee in the ordinary course of business is towards payment of self-assessment tax falls within the ambit of loans or advances as per Section 2(22)(e) of the

4 ITA No.1063/Hyd/2026

Act. Therefore, the A.O. rejected the submissions of the assessee and treated the sum of Rs.27,10,000/- as deemed dividend under Section 2(22)(e) of the Act.

4.

Aggrieved with the assessment order, the assessee preferred an appeal before the Ld. CIT(A) and before the Ld. CIT(A) the assessee submitted that although there is no dispute about payment of Rs.27,10,000/- towards self-assessment tax of the assessee by the company, but fact remains that the said amount has been adjusted in the same financial year to the current account of the director within a short period of time and thus, the same cannot be treated as loan or advances within the meaning of Section 2(22)(e) of the Act. The Ld. CIT(A), after considering the submissions of the assessee and also taking note of the relevant facts, observed that, since the assessee is a shareholder holding more than the specified percentage of share capital in the company, any loan or advance received by the assessee from the company partakes the nature of loans or advances and consequently, the said loan or advances fall within the ambit of Section 2(22)(e) of the Act. Therefore, the Ld. CIT(A) rejected the

explanation of the assessee and sustained the additions made by the A.O.

5.

Aggrieved by the Ld. CIT(A)’s order, the assessee is now in appeal before the Tribunal.

6.

The learned counsel for the assessee, Shri S.K. Gupta, Advocate, submitted that the Ld. CIT(A) erred in sustaining the additions made by the A.O. towards deemed dividend under Section 2(22)(e) of the Act, for Rs.27,10,000/- towards self- assessment tax payment of the assessee by the company without appreciating the fact that the said amount has been subsequently repaid within the same financial year through the current account of the director and thus, the same cannot be treated as deemed dividend within the meaning of Section 2(22)(e) of the Act. In this regard, he relied upon the decision of ITAT, Chennai Bench in the case of V. Sriram (HUF) v. ACIT in ITA No.863/Chny/2022, dated 22.02.2023.

7.

The learned CIT-DR for the Revenue, Ms. Seema Meena, on the other hand, supporting the orders of the authorities below submitted that, any loan or advance or deposit given by any

company to its shareholder, then the said loan or advance partakes the nature of ‘deemed dividend’ under Section 2(22)(e), if other conditions are satisfied. In the present case, the assessee, being a shareholder holding more than the specified limit of share capital, has received a loan or advance by way of self-assessment tax payment of the assessee by the company and the same shall be assessed as deemed dividend. The A.O., after considering relevant facts, has rightly treated the loan or deposit as ‘deemed dividend’ under Section 2(22)(e) of the Act. In this regard, she relied upon the decision of the Hon'ble Supreme Court in the case of P. Sarada v. CIT reported in (1997) 229 ITR 444.

8.

We have heard both parties, perused the material available on record and had gone through the orders of the authorities below. There is no dispute with regard to the fact that the self- assessment tax payment of the assessee has been paid by the company i.e., M/s. Vital Therapeutics Private Limited, and the same has been repaid in the same financial year, leaving no debit balance in the name of the assessee in the books of accounts of the company. The A.O. treated the sum of Rs.27,10,000/- as loan or deposit within the meaning of Section 2(22)(e) on the ground

7 ITA No.1063/Hyd/2026

that, the assessee is a Managing Director of M/s. Vital Therapeutics Private Limited, holding 40% equity share capital, and therefore, satisfied the conditions for invoking Section 2(22)(e) of the Act. We find that, although the tax liability of the assessee has been discharged by the company, but fact remains that the said tax liability has been repaid through the current account of the director in the same financial year, leaving no debit balance in the name of the assessee at the end of the year. Since the transactions between the assessee and its company are in the normal course of business towards self-assessment tax payment of the director and further, the same has been repaid through the current account in the same financial year within a short period of time, in our considered view, the said transactions cannot be considered as loan or deposit within the meaning of Section 2(22)(e) of the Act. This principle is supported by the decision of the ITAT, Chennai Bench in the case of V. Sriram (HUF) v. ACIT (supra), where it has been held that, if loan transactions between the assessee and the company are in the ordinary course of business and the same have been squared up within the same financial year, then the said transactions cannot be treated as loan or deposit within the meaning of Section 2(22)(e) of the Act.

8 ITA No.1063/Hyd/2026

9.

In the present case, there is no dispute with regard to the fact that the sum of Rs.27,10,000/- paid by the company towards the tax liability of the assessee has been subsequently repaid in the same financial year and therefore, by respectfully following the decision of ITAT, Chennai Bench in the case of V. Sriram (HUF) v. ACIT (supra), we are of the considered view that the A.O. was not justified in treating the transaction between the assessee and the company as deemed dividend under Section 2(22)(e) of the Act. The Ld. CIT(A), without appreciating the facts, simply sustained the addition made by the A.O. Thus, we set aside the order of Ld. CIT(A) and delete the additions made by the A.O. towards deemed dividend under Section 2(22)(e) of the Act.

10.

In the result, the appeal filed by the assessee is allowed.
