FRAGRANCE & FLAVOURS ASSOCIATION OF INDIA,MUMBAI vs. CIT(EXEMPTIONS), MUMBAI, MUMBAI
What did the Tribunal hold?
The Tribunal held that the rejection of the assessee's application for approval under Section 80G was fundamentally based on the rejection of its application for registration under Section 12AB. The CIT(E) had reasoned that since the Section 12AB registration was rejected, the assessee failed to fulfill the condition under Section 80G(5)(i), making the 80G application untenable. The Tribunal noted that the connected appeal concerning the Section 12AB registration (ITA No. 4790/Mum/2026) had been restored to the file of the CIT(E) for fresh adjudication after providing adequate opportunity of hearing. Therefore, the very basis for rejecting the Section 80G application was open for fresh consideration. The Tribunal concluded that the issue concerning Section 80G approval was consequential to and dependent upon the determination of eligibility for Section 12AB registration. Adjudicating the Section 80G appeal independently at this stage would be inappropriate. Consequently, the Tribunal set aside the impugned order and restored the assessee's application for approval under Section 80G to the file of the CIT(E) for fresh adjudication after the Section 12AB issue is decided. The CIT(E) was directed to provide an adequate opportunity of hearing and consider the 80G application afresh in light of the outcome of the Section 12AB proceedings and any material placed on record. No opinion was expressed on the merits of the 80G eligibility.
What were the facts?
The assessee, Fragrance & Flavours Association of India, filed an appeal against the order dated 27.02.2026 passed by the Commissioner of Income Tax (Exemptions), Mumbai (CIT(E)). The CIT(E) rejected the assessee's application for renewal of approval under Section 80G of the Income-tax Act, 1961, filed on 30.09.2025. The rejection was primarily based on the fact that the assessee's application for renewal of registration under Section 12AB of the Act had also been rejected by the same authority. The assessee contended that the 80G rejection was consequential to the 12AB rejection. The appeal before the Tribunal concerns the assessment year(s) not explicitly stated, but the application for renewal was filed in 2025.
What were the issues?
1. Whether the learned CIT(Exemptions) erred in denying the renewal of approval under Section 80G to the trust? (Question of law and fact, concerning Section 80G(5)(i) and the first proviso thereto). 2. Whether the learned CIT(Exemptions) erred in rejecting the application for renewal of registration under Section 12A(1)(ac)(ii), thereby consequentially rejecting the renewal of approval under Section 80G? (Question of law and fact, concerning Sections 12A(1)(ac)(ii) and 80G(5)(i)). Assessee's Contentions: - The rejection of the Section 80G application was purely consequential to the rejection of the Section 12AB application. - The appeal against the rejection of Section 12AB registration (ITA No. 4790/Mum/2026) had been heard and restored to the CIT(E) for fresh adjudication. - Since the foundation for the 80G rejection was being re-examined, the present appeal should also be restored to the CIT(E) for fresh adjudication. - The alleged non-compliance to a notice dated 05.11.2025 was neither wilful nor deliberate, and the assessee had sought an adjournment without receiving a response. - The CIT(E) rejected the application without giving sufficient opportunity of being heard. Revenue's Contentions: - The learned Departmental Representative raised no objection to the assessee's prayer for restoration and submitted that the Section 80G issue may also be restored to the CIT(E).

Income Tax Appellate Tribunal, MUMBAI BENCHES, MUMBAI
PER: MAKARAND VASANT MAHADEOKAR, AM This appeal filed by the assessee is directed against the order dated 27.02.2026 passed by the learned Commissioner of Income Tax (Exemptions), Mumbai [“Ld. CIT(E)”], whereby the application filed by the assessee in Form No. 10AB seeking renewal of approval under section 80G of the Income-tax Act, 1961 (“the Act”) was rejected. The assessee had filed the said application on 30.09.2025 under clause (ii) of the first proviso to section 80G(5) of the Act. The impugned order records that the assessee’s corresponding application for registration under section 12AB had also been rejected and, principally on that basis, the application for approval under section 80G was held to be untenable.
The assessee has raised the following grounds of appeal:
The learned CIT(Exemptions) erred in denying the renewal of approval u/s 80G to the trust.
The learned CIT(Exemptions) erred in rejecting the application for renewal of registration of the trust under section 12A(1)(ac)(ii) thereby consequentially rejecting the renewal of approval under clause (ii) of first proviso to sub-section (5) of section 80G of the Act.
The learned CIT(Exemptions) erred in disregarding the charitable nature of the trust, and in not appreciating that on the basis of evidence on record the trust deserved to be recognized for the purposes of section 80G.
The learned CIT(Exemptions) failed to appreciate that the alleged non- compliance to notice dated 05.11.2025 was neither wilful nor deliberate. The appellant had sought time and prayed for adjournment to a later date but received no communication from the CIT(Exemptions).
The learned Commissioner of Income Tax (Exemption) erred in rejecting the application for renewal of approval u/s 80G to the Trust without giving sufficient opportunity of being heard.
The appellant craves leave to add, alter or amend any of the grounds of the appeal, at any time before or at the time of hearing.
Brief facts
The assessee had filed Form No. 10AB on 30.09.2025 seeking renewal of approval under section 80G of the Act. The Ld. CIT(E), while considering the application, noticed that the assessee had also applied for renewal of registration under section 12AB of the Act by filing Form No. 10AB on the same date. The application for registration under section 12AB came to be rejected by the Ld. CIT(E) vide order dated 27.02.2026. 4. The Ld. CIT(E) observed that section 80G(5)(i) requires, inter alia, that the institution or fund should be one to which the provisions of sections 11 and 12, or the other provisions specified therein, apply. Since the application of the assessee for registration under section 12AB had been rejected, the Ld. CIT(E) held that the requisite condition for approval under section 80G was not fulfilled. Consequently, the application filed by the assessee for renewal of approval under section 80G was rejected.
Aggrieved by the aforesaid order, the assessee is in appeal before us.
During the course of hearing, the learned Authorised Representative submitted that the rejection of the assessee’s application under section 80G is purely consequential to the rejection of its application for registration under section 12AB of the Act. He submitted that the appeal preferred by the assessee against rejection of registration under section 12AB, being ITA No. 4790/Mum/2026, had already been heard by the Bench on 10.07.2026, and the issue relating to registration under section 12AB was being restored to the file of the Ld. CIT(E) for fresh adjudication. The learned AR, therefore, submitted that, since the very foundation on which the application under section 80G had been rejected was being remitted for fresh consideration, the present appeal also deserves to be restored to the file of the Ld. CIT(E) for adjudication afresh.
The learned Departmental Representative raised no objection to the aforesaid prayer of the assessee and fairly submitted that the issue concerning approval under section 80G may also be restored to the file of the Ld. CIT(E).
We have heard the rival submissions and perused the material available on record. The limited issue before us is whether the rejection of the assessee’s application for approval under section 80G can survive independently when the underlying issue concerning registration under section 12AB is itself required to be examined afresh.
We find from the impugned order that the Ld. CIT(E) rejected the assessee’s application for approval under section 80G essentially on account of rejection of its application for registration under section 12AB. The relevant reasoning recorded by the Ld.
CIT(E) is that, since the application for registration under section 12AB had been rejected, the assessee failed to fulfil the condition contemplated under section 80G(5)(i) of the Act and, consequently, its application under section 80G became untenable. Thus, the rejection under section 80G is manifestly consequential to the rejection of registration under section 12AB.
We further note that the assessee had challenged the rejection of its registration under section 12AB before the Tribunal in ITA No. 4790/Mum/2026. The said appeal was heard on 10.07.2026 and disposed vide orde dated 09.09.2026. The Co-ordinate Bench, after considering the submission that only one opportunity had been granted to the assessee and that the assessee had sought an adjournment but no further communication had been received, restored the matter to the file of the Ld. CIT(E) for adjudication afresh after providing adequate opportunity of hearing to the assessee.
The operative finding of the Tribunal in the connected appeal reads as under:
“4. Considering the rival submissions, perusing the order of the Ld. CIT(E), and taking note of the contentions of the assessee, we are of the view that, in the interest of justice, this appeal has to be restored to the file of the Ld. CIT(E) for adjudicating afresh the application filed by the assessee for registration u/s 12AB of the Act. Accordingly, we restore this appeal to the file of the Ld. CIT(E), who shall dispose of the application filed by the assessee for registration u/s 12AB of the Act after providing adequate opportunity of hearing to the assessee.”
In view of the above, the very basis on which the assessee’s application for approval under section 80G came to be rejected is presently open for fresh adjudication before the Ld. CIT(E). The issue concerning approval under section 80G is, therefore, consequential to and dependent upon the determination of the assessee’s eligibility for registration under section 12AB. In these circumstances, adjudication of the present appeal independently at 5 Fragrance & Flavours Association of India this stage would neither be appropriate nor serve any useful purpose.
We, therefore, consider it just and proper to set aside the impugned order dated 27.02.2026 and restore the application of the assessee for approval under section 80G to the file of the Ld. CIT(E) for fresh adjudication in accordance with law, after the issue relating to registration under section 12AB is decided pursuant to the directions of the Bench in ITA No. 4790/Mum/2026. 14. The Ld. CIT(E) shall provide reasonable and adequate opportunity of hearing to the assessee and shall consider the application under section 80G afresh in the light of the outcome of the proceedings relating to registration under section 12AB and the material that may be placed on record by the assessee. We make it clear that we have not expressed any opinion on the merits of the assessee’s eligibility for approval under section 80G, and all issues are left open for consideration by the Ld. CIT(E) in accordance with law.
Accordingly, the grounds raised by the assessee are allowed for statistical purposes.
In the result, the appeal filed by the assessee is allowed for statistical purposes.
