PEARSON INDIA EDUCATION SERVICES PRIVATE LIMITED,BANGALORE vs. DCIT CORPORATE CIRCLE 5(2), CHENNAI
What did the Tribunal hold?
The Tribunal noted that while the AO's assessment order dated 31.10.2019 mentioned allowing set off of brought forward business loss, the computation sheet only reflected income from other sources as per the revised return, leading to the determination of taxes payable. Furthermore, an application under Section 154 of the Act concerning this very issue was pending disposal. Consequently, the Tribunal held that the issue required re-examination by the AO. The Tribunal set aside the issue concerning the set off of brought forward business loss to the file of the AO, directing the AO to re-examine it in light of the details filed by the assessee and allow the set off of brought forward business loss against the current year's income. The appeal was treated as allowed for statistical purposes.
What were the facts?
The assessee, Pearson India Education Service Private Limited, is appealing against the final assessment order for Assessment Year 2015-16, passed by the Assessing Officer (AO) under Section 143(3) read with Section 92CA and Section 144C(5) of the Income-tax Act, 1961. This order was passed pursuant to directions from the Dispute Resolution Panel (DRP). The assessee, a subsidiary of Pearson Singapore PTE Limited, is engaged in publishing and education services. The AO had made Transfer Pricing (TP) adjustments as suggested by the Transfer Pricing Officer (TPO), which were upheld by the DRP. The final assessment order determined a total loss of Rs. 17,59,25,729/- after TP adjustments and setting off brought forward losses.
What were the issues?
1. Whether the appeal may be set aside to the file of the AO regarding the issue of set off of brought forward business losses, given that the assessee has settled TP adjustments and has a pending petition under Section 154 of the Act concerning the brought forward loss. Assessee's Contention: The assessee's counsel submitted a letter indicating settlement of TP adjustments and payment of taxes. For the issue of not allowing brought forward loss, a petition under Section 154 of the Act is pending. Therefore, the appeal should be set aside to the AO for reconsideration of the brought forward loss issue. Revenue's Contention: The CIT-DR fairly agreed that the issue of set off of brought forward business loss may be set aside to the file of the AO for reconsideration.

This appeal filed by the assessee is directed against the final assessment order passed by the Assessing Officer u/s. 143(3) r.w.s. 92CA r.w.s. 144C(5) of the Income-tax Act, 1961 (hereinafter referred to as “the Act”), dated 31.10.2019 in pursuant to DRP directions issued u/s. 144C(5) of the Act dated 19.09.2019 and pertains to assessment year 2015-16.
:-2-: IT(TP)A. No: 6/Chny/2020 2. The brief facts of the case are that, the appellant company is a wholly owned subsidiary of Pearson Singapore PTE limited and engaged in the business of publishing, school management, online tutorial and also imparting education from pre-school to degree level. The appellant had filed its return of income for assessment year 2015-16 on 29.11.2015, declaring a total loss of Rs. 48,85,25,664/- under normal provisions and Rs. 53,80,92,688/- u/s. 115JB of the Act. The case was selected for scrutiny and during the course of assessment proceedings, the case was referred to Transfer Pricing Officer for determining the arm length price in respect of transaction with associate enterprise. The AO has passed draft assessment order u/s. 143(3) r.w.s. 92CA(4) of the Act on 30.12.2018 and made TP adjustment as suggested by the TPO. Against the assessment order, the assessee has filed objection before DRP-2, Bangalore. The DRP, vide their directions dated 19.09.2019 issued u/s. 144C(5) of the Act, upheld the additions made by the AO towards transactions of the assessee with associate enterprise. The AO, passed final assessment order u/s. 143(3) r.w.s. 144C(5) of the Act, on 30.10.2019 and determined total loss of Rs. 17,59,25,729/- by making TP adjustment as suggested by the TPO and also setting off of brought forward loss. :-3-: IT(TP)A. No: 6/Chny/2020 the final assessment order, the assessee preferred an appeal before us.
We have heard both the parties, perused materials available on record and gone through orders of the authorities below. At the time of hearing, the ld. Counsel for the assessee Shri. K.R. Girish, CA, submitted a letter dated 14.03.2023, along with Form no. 1, 2, 3 & Form 5 relating to DTVSV Act, 2020 and submitted that the assessee has settled dispute with regard to addition made on account of TP adjustment and paid relevant taxes. Further, in so far as not allowing brought forward loss, the assessee has filed a petition u/s. 154 of the Act, which is pending for disposal. Therefore, he submitted that appeal may be set aside to the file of the AO, qua, the issue of set off of brought forward losses.
The CIR-DR, Dr. S. Palani Kumar, on the other hand fairly agreed that the issue may be set aside to the file of the AO to reconsider the issue of set off of brought forward business loss.
We have heard both the sides and considered relevant material on record and we find that although, the AO has allowed set off of brought forward business loss in the assessment order
:-4-: IT(TP)A. No: 6/Chny/2020 dated 31.10.2019, but in the computation sheet, he has taken only income from other source as per revised return filed by the assessee and determined taxes payable. Further, on the very same issue application filed by the assessee u/s. 154 of the Act is pending for disposal. Therefore, we are of the considered view that the issue needs to be set aside to the file of the AO and thus, we set aside the issue, qua, the issue of set off of brought forward business loss and direct the AO to re-examine the issue in light of details filed by the assessee and allow the set off of brought forward business loss against current year income.
In the result, appeal filed by the assessee is treated as allowed for statistical purposes. Order pronounced in the court on 22nd March, 2023 at Chennai. Sd/- Sd/- (वी दुगा राव) (मंजुनाथ. जी) (V.
