What did the Tribunal hold?

The Tribunal decided on the grounds as follows: Grounds 2, 3, and 4, relating to transfer pricing adjustments, were dismissed as withdrawn by the assessee, who had entered into an Advance Pricing Agreement (APA) dated 23.03.2023. Ground 1 was considered general and not requiring adjudication. For Ground 5 (non-grant of foreign tax credit under Section 90), the Tribunal remanded the issue to the Ld. AO/TPO to consider the assessee's claim in accordance with law, allowing the ground for statistical purposes. For Ground 6 (levy of interest under Section 234A), the Tribunal remanded the issue to the Ld. AO to verify the claim that the return was filed within the due date and to consider it in accordance with law, allowing the ground for statistical purposes. For Grounds 7 & 8 (short grant of TDS credit and advance tax credit), the Tribunal remanded these issues back to the Ld. AO, directing the assessee to refile all relevant details and the Ld. AO to verify and consider the claim in accordance with law, allowing the grounds for statistical purposes. For Ground 9 (short grant of credit for refunds adjusted), the Tribunal directed the assessee to refile relevant details and the Ld. AO to verify and consider the claim, allowing the ground for statistical purposes. The judgment does not explicitly record decisions on grounds 10, 11, and 12 concerning interest under Sections 234B and 234C, and initiation of penalty proceedings under Section 270A, implying these were not pressed or decided on merits in this order.

What were the facts?

The assessee, M/s. IMS Health Analytics Services Pvt. Ltd., filed an appeal against the order dated 29.07.2022 passed by the Deputy Commissioner of Income Tax (Ld. AO) for Assessment Year 2018-19. The assessee is a company that underwent amalgamation with M/s. IMS Health Technology Solutions India Pvt. Ltd. The original return of income was filed on 30.11.2018, and a revised return was filed on 29.03.2019 after the amalgamation. The Ld. AO made a reference to the Transfer Pricing Officer (TPO) under Section 92CA of the Income-tax Act, 1961, due to international transactions with Associate Enterprises. The TPO's order proposed an adjustment of Rs. 75,40,48,209. Following a draft assessment order and objections before the Dispute Resolution Panel (DRP), the transfer pricing adjustment was reduced to Rs. 15,27,49,625, which formed the basis of the impugned assessment order.

What were the issues?

The Tribunal had to decide on several grounds of appeal raised by the assessee. The primary issues were: 1. Whether the assessment order passed by the Ld. AO was bad in law and on facts, and in violation of principles of natural justice, specifically concerning the non-issuance of a show cause notice before making a reference to the TPO as per the proviso to Section 92C(3) of the Act, and whether the Ld. AO had recorded the necessary opinion for such a reference under Section 92C(3). 2. Whether the Ld. TPO/DRP erred in re-determining the arm's length price for interest on Compulsorily Convertible Debentures (CCDs) and computing interest on delayed receivables, leading to an addition of INR 152,749,625. 3. Whether delayed receivables were incorrectly treated as an unsecured loan and an international transaction, with notional interest computed thereon. 4. Whether CCDs were wrongly re-characterized as equity instruments, and the arm's length price of interest paid thereon was incorrectly computed as 'Nil', disregarding a previous ITAT ruling for AY 2015-16. 5. Whether the Ld. AO erred in not granting relief in respect of foreign taxes under Section 90 of the Act, amounting to INR 1,270,475. 6. Whether interest under Section 234A was erroneously levied, despite the original return being filed within the due date. 7. Whether there was a short grant of TDS credit and credit for advance tax paid. 8. Whether there was a short grant of credit for refunds adjusted against AY 2018-19. 9. Whether interest under Sections 234B and 234C was erroneously computed. 10. Whether penalty proceedings under Section 270A were erroneously initiated. Assessee's contentions: - Grounds relating to transfer pricing adjustments were withdrawn due to an Advance Pricing Agreement (APA). - Ground 1 was general and not pressed. - For Ground 5, Form 67 was filed, and foreign tax credit of Rs. 1,217,475 was eligible. - For Ground 6, the return was filed within the due date, so Section 234A interest was not leviable. - For Grounds 7 & 8, details were filed but not considered. - For Ground 9, credit for refunds from other AYs adjusted against AY 2018-19 was not granted. - For Grounds 10 & 11, interest under Sections 234B and 234C was erroneously computed. - For Ground 12, penalty proceedings under Section 270A were wrongly initiated. Revenue's contentions: - The Ld. CIT(DR) relied on the orders passed by the authorities below for grounds 5, 7, and 8.

Section 92C,Section 92CA,Section 143(3),Section 144C(13),Section 90,Section 234A,Section 234B,Section 234C,Section 270A

Page 2 IT(TP)A No. 943/Bang/2022 Tax effect Sl.No. Grounds of Appeal (in INR) The Order/ Directions are bad in 1. NA law and on facts The assessment order passed by the Ld. Deputy Commissioner of Income Tax, Circle — 3(1)(1) ('Ld AO') under Section 143(3) read with Section 144C (13) of the Income-tax Act, 1961 ('the Act'), is bad in law and on facts and is in violation of the principles of natural justice. 1.1 Without prejudice to the generality of the above, the order issued by the Ld. AO is bad in law in so far as the fact that the Ld. AO did not issue to IMS Health Analytics Services Private Limited (`the Appellant or 'the Company'), a show cause notice for such reference, as per proviso to Section 92C(3) of the Act. The Ld. TPO is without jurisdiction, and the proceedings, including Directions issued by the Dispute Resolution Panel ('Ld. Panel') is bad in law. The Ld. AO and Ld. Computation of notional interest on 3. delayed receivables The Ld. AO/ Ld. TPO/ Ld. Panel erred in law and on facts by treating the delayed receivables as unsecured loan advanced by the 3.1 Appellant to its AE and treating the delayed receivables as an international transaction and computing notional interest on the same. Without prejudice, in any event the delayed receivables cannot be treated as a separate international 3.2 transaction and if at all, ought to be aggregated with the principal transactions. Without prejudice, the Ld. Panel erred in determining the interest by 3.3 applying SBI PLR interest rate although the invoices are raised by the Appellant in foreign currency. Recharacterization of Compulsorily Convertible Debentures ('CCDs') as 4. an equity instrument and re- computing the arm's length price of the interest paid thereon The Ld. AO/ Ld. TPO/ Ld. Panel erred in law and in facts, in re- characterizing the CCDs as an 4.1 equity instrument and re-computing the arm's length price of the interest paid thereon as 'Nil'. Short grant of TDS credit NA The Ld. AO erred in granting TDS credit only to the extent of INR 10,493,798 (as against INR 7.1 13,521,375 claimed in the return of income) thereby resulting in short grant of TDS credit of INR 3,027,577. Short grant of credit for advance tax 8. NA paid The Ld. AO erred in granting credit for advance taxes paid only to the extent of INR 122,000,000 (as against INR 147,000,000 claimed in 8.1 the return of income) thereby resulting in short grant credit for advance taxes amounting to INR 25,000,000.
