What did the Tribunal hold?

The Tribunal held that the assessment proceedings initiated under section 153A of the Income Tax Act, 1961, were invalid. The Tribunal noted that it is an admitted fact that the assessee company had amalgamated with another entity by an order of the Calcutta High Court dated 28.11.2016, effective from 01.04.2015, prior to the initiation of the assessment proceedings. Therefore, the impugned proceedings were carried out against a non-existent entity. The Tribunal respectfully followed its previous decision in the assessee's own case (IT(SS)A No. 20/Kol/2022 & Ors. dated 24.05.2023), which had quashed assessment proceedings against a non-existent entity. The reasoning in the cited case was that issuing notices and framing assessments in the name of a non-existent company is a substantive illegality, not a curable procedural mistake, and renders the assessment order a nullity. Consequently, the Tribunal quashed the assessment proceedings made under section 153A. All remaining grounds were rendered infructuous as they were academic in nature.

What were the facts?

The assessee, Square Four Housing & Infrastructure Development Pvt. Ltd., filed an appeal against the order of the CIT(A) for Assessment Year 2012-13. The assessment order was framed by the DCIT under section 143(3) read with section 153A of the Income Tax Act, 1961. The assessee's original return was filed on 28.12.2012. A search and seizure operation and survey action were conducted on 03.02.2017. Subsequently, a notice under section 153A was issued, and assessment proceedings were carried out. The assessee's primary contention is that the assessment proceedings were initiated against a non-existent entity, as the company had been amalgamated with another entity by an order of the Calcutta High Court dated 28.11.2016, effective from 01.04.2015. The CIT(A) had upheld the assessment order.

What were the issues?

1. Whether the notice issued under section 153A of the Income Tax Act, 1961, is bad in law and on facts, considering the assessee company was amalgamated prior to the assessment proceedings? (Question of law and fact, concerning Section 153A) 2. Whether the assessment order passed under section 143(3) read with section 153A of the Income Tax Act, 1961, is bad in law and on facts, as it was framed against a non-existent entity? (Question of law and fact, concerning Section 143(3) and 153A) Assessee's Contentions: - The assessee argued that the assessment proceedings under section 153A read with section 143(3) are invalid because they were initiated against a non-existent entity. This is due to the company's amalgamation with another entity, effective from 01.04.2015, by an order of the Calcutta High Court dated 28.11.2016. The assessee relied on the Tribunal's decision in its own case for other assessment years (IT(SS)A No. 20/Kol/2022 & Ors. dated 24.05.2023), which quashed similar proceedings against a non-existent entity. Revenue's Contentions: - The Revenue's representative (DR) argued in support of the lower authorities' orders but could not controvert the assessee's contentions.

At the outset, Ld. Counsel for the assessee submitted that the legal issue raised in ground no. 1 challenging the validity of assessment proceedings u/s. 153A r.w.s. 143(3) of the Act is squarely covered in favour of the assessee by the decision of this Tribunal in assessee’s own case in IT(SS)A No. 20/Kol/2022 & Ors. dated 24.05.2023 wherein this Tribunal observed that the assessee company was amalgamated/merged vide order of Hon’ble Calcutta High Court dated 28.11.2016 effective from 01.04.2015. The assessment

I.T(SS).A. No. 30/Kol/2023 A Y: 2012-13, Square Four Housing & Infrastructure Development Pvt. Ltd. proceedings carried out thereafter in the name of the amalgamating entity i.e. non-existent entity is non est and deserves to be quashed.

4.

On the other hand, Ld. DR vehemently argued supporting the orders of the lower authorities but could not controvert the contentions of the Ld. Counsel.

5.

We have heard the rival contentions and perused the material available on record. We observe that assessee company filed its original return of income on 28.12.2012 declaring total income of Rs.9,35,710/-. Pursuant to search and seizure operation and survey action u/s. 132(1) and 133A of the Act respectively carried on 03.02.2017. Notice u/s. 153A of the Act was issued and assessment proceedings were carried out u/s. 143(3) r.w.s. 153A of the Act after validly issuing notice u/s. 143(2) and 142(1) of the Act on 24.07.2018 and 14.09.2018. Assessment proceedings culminated on 31.12.2018. In the ground no. 1, assessee has raised a legal issue challenging the validity of the assessment proceeding on the ground that assessment has been framed on non est/non-existent entity. Reliance has been placed on the decision of this Tribunal in assessee’s own case and other group concerns for other assessment years wherein also similar legal issue was raised and this Tribunal after placing reliance on certain settled judicial precedence has quashed the assessment proceedings observing as follows: “7. We have heard the rival contentions and perused the relevant material available on record. We find that M/S Madanlal Ramanlal Trading Pvt. Ltd. was amalgamated with other company M/S G.S. Global Projects (P) Ltd. Vide order dated 5.01.2018 w.e.f.1.4.2015 passed by the National Company Law Tribunal, Kolkata Bench, Kolkata. We also observe from the facts as placed before us that the fact of the said company having merged with other entity has been intimated to the ld. Assessing Officer vide letters dated 23.07.2018 copy whereof is placed at page no. 60 of the PB. We find that despite the said intimations to the AO, the notice u/s 153A and other notices were issued in the name of amalgamating companies which was non- Page 4 of 6

I.T(SS).A. No. 30/Kol/2023 A Y: 2012-13, Square Four Housing & Infrastructure Development Pvt. Ltd. existent entity on that date and assessment was framed accordingly in the name of non-existent entity. Thus there is no dispute as to that communication by the assessee to the AO to the effect that M/s . Madanlal Ramanlal Trading Pvt. Ltd. was amalgamated with other company M/S G.S.Global Projects (P) Ltd. vide order dated 05.01.2018 w.e.f. 01.04.2015 of National Company Law Tribunal, Kolkata Bench, Kolkata, which is part of the assessment records. Now the issue before us is whether the notices issued and assessment framed in the name of a non-existent company is valid or suffers from the vice of substantive illegality or this is just a curable procedural mistake on the part of the AO while passing the order In our considered view that the issuance of notices and framing the assessment in the name of non- existent company is substantive flaw and illegality, which goes root of the matter and is not procedural/ technical lapse on the part of the AO, which can be cured by invoking provisions of section 292B of the Act. Considering the facts as placed before us vis a vis the provisions of the Act including that of section 2928 of the Act and the various decisions cited before us , we are certainly of the considered opinion that assessment framed in the name of non-existent company is nullity and bad in law. In our considered view, the assessment order in the name of non-existent company suffers from the substantive illegality and is invalid in the eyes of law. The case of the assessee is squarely covered by the decision of Hon'ble Supreme Court in the case of PCIT- vs.-Maruti Suzuki India Limited (supra) wherein it has been held that the assessment order in the name of non-existent entity has to be quashed and set aside as this is a substantive illegality and not procedural lapse of the nature as referred to in section 292B of the Act. The Hon'ble Apex Court has further held that mere fact that the assessee has participated in the proceedings before the AO will not cure this substantive illegality and the mere participation of the assessee in the assessment proceedings cannot debar the assessee from challenging the proceedings on this ground as there is no estoppels against law. The Hon'ble Apex Court has followed the decision of the coordinate bench of two judges, wherein the appeal of the revenue has been dismissed in the case of CIT Vs Spice Infotainment Ltd. (supra) wherein similar ratio has been laid down by the Hon'ble Apex Court. So far as the reliance of the ld DR on the decision of Delhi High Court in the case of Sky Light Hospitality LLP -vs.- ACIT, Circle-28(1), New Delhi(supra), the Hon'ble Apex court in its decision in the case of PCIT - vs.-Maruti Suzuki India Limited (supra) has been discussed and distinguished and then decided the issue in favour of the assessee. Considering the facts and circumstances of the instant case, we are inclined to quash the assessment order passed u/s 153A r.w.S. 143(3) of the Act by reversing the order of the ld CIT(A) on the ground that the assessment in the name of amalgamating company being non-existent is nullity and invalid. The legal ground raised by the assessee is allowed.”

I.T(SS).A. No. 30/Kol/2023 A Y: 2012-13, Square Four Housing & Infrastructure Development Pvt. Ltd. 6. From the perusal of the above finding of this Tribunal and also considering the details placed on record since it is an admitted fact that prior to the initiation of the assessment proceeding u/s. 153A of the Act, the assessee stood amalgamated with other entity in the order of the Hon’ble jurisdictional High court dated 28.11.2016 and, therefore, the impugned proceeding having been carried out against a non est/non-existent entity. Respectfully following the decision of the Tribunal cited (supra), we quash the assessment proceeding made u/s. 153A of the Act. The remaining grounds become infructuous as they are academic in nature. 7. In the result, the appeal of the assessee is allowed. Order is pronounced in the open court on 10th July, 2024.
