RIBBON COMMUNICATION PRIVATE LIMITED ,BANGALORE vs. DEPUTY COMMISSIONER OF INCOME TAX, CIRCLE-5(1)(1), BANGALORE
What did the Tribunal hold?
On the issue of interest on delayed receivables, the Tribunal held that it is appropriate to apply 6 months LIBOR + 115 basis points for computing the interest. The Tribunal clarified that a credit period of 30 days is allowed, not 90 days as per MAP authorities. The reasoning was that MAP proceedings were for earlier Assessment Years (2014-15 to 2016-17) and not for subsequent years, and that time and circumstances change, giving MAP guidelines only persuasive, not binding, value. On the issue of denial of deduction under Section 80G, the Tribunal restored the issue to the AO for fresh consideration. The AO is directed to consider the applicability of CBDT Circular No. 7/2010 and examine whether the payments were towards CSR or charitable activities. The Tribunal referred to a coordinate bench decision in Allegis Services (India) Pvt. Ltd. Vs. ACIT, which held that an assessee cannot be denied the benefit of Chapter VI-A deductions for computing 'Total Taxable Income' merely because the payment forms part of CSR, as this could lead to double disallowance. The AO is directed to grant deduction to the extent of eligibility after verifying the necessary conditions.
What were the facts?
The assessee, M/s. Ribbon Communication Private Limited, filed its return of income for Assessment Year 2020-21 declaring a total income of Rs. 25.81 Crores. The case was selected for scrutiny. The Assessing Officer (AO) referred the matter to the Transfer Pricing Officer (TPO) regarding international transactions. The TPO made adjustments, and the AO passed a Draft Assessment Order. The assessee filed objections before the Dispute Resolution Panel (DRP), which granted some relief. Subsequently, the AO passed the impugned Assessment Order. The assessee appealed to the Income Tax Appellate Tribunal (ITAT). The assessee also pointed out that similar issues for earlier Assessment Years (2014-15 to 2016-17) were adjudicated in Mutual Agreement Procedure (MAP) proceedings.
What were the issues?
1. Whether the rate of interest applied on delayed receivables by the TPO is correct, and if not, what rate should be applied, considering the directions given in MAP proceedings for earlier years? The assessee argued that the interest rate on delayed receivables should be restricted to the directions given by the MAP authorities for Assessment Years 2014-15 to 2016-17, where the issue was considered and adjudicated. The revenue relied on the orders of the authorities below. 2. Whether the denial of deduction under Section 80G of the Income Tax Act, 1961, to the assessee for donations made is justified? The revenue contended that the assessee failed to provide valid 80G certificates for the concerned persons and that the submitted certificates were not valid for the impugned year. The DRP noted that the payments were made towards CSR fund under Section 135 of the Companies Act and opined that CSR donations cannot be claimed under Section 80G. The assessee argued that valid 80G(5)(vi) certificates were submitted and were valid for the impugned year. The revenue relied on the orders of the authorities below.

Income Tax Appellate Tribunal, “C” BENCH : BANGALORE
Before: SHRI. LAXMI PRASAD SAHU & SHRI. PRAKASH CHAND YADAV
Per Prakash Chand Yadav, Judicial Member :
Present appeal of the assessee is arising from the Order of the learned AO, dated 30.07.2024 having DIN and Order No. ITBA/AST/S/143(3)/2024- 25/1067126763(1) and relates to Assessment Year 2020-21.
Brief facts of the case are that the assessee is a company, filed its return of income declaring total income of Rs.25.81 Crores. The same was processed under section1 39(1) of the Act and thereafter the case of the assessee was selected for scrutiny. During the course of assessment proceedings, the AO observed that the assessee has entered into certain international transactions,
IT(TP)A No.1864/Bang/2024 Page 2 of 4 accordingly, the AO made reference to the TPO for determining the ALP of the international transactions entered into by the assessee. The learned TPO, vide Order dated 25.05.2023 passed the TP Order, after making certain adjustments. Thereafter, the AO passed Draft Assessment Order on 27.09.2023. The assessee filed its objections before the DRP and the learned DRP, after granting operational relief to the assessee, passed Order dated 07.06.2022. Thereafter, the AO passed the impugned Assessment Order.
Aggrieved with the Order of AO, the assessee has come up in appeal before us. At the outset, the Counsel for the assessee pointed out that the assessee has entered into MAP proceedings for Assessment Years 2014-15 to 2016-17 wherein the issue involved in the present appeal has been considered and adjudicated by the MAP authorities. The solitary issue involved in this case is rate of interest to be applied on delayed receivables. The TPO, while conducting the TP study, has applied 6 months libor + 450 basis points. Counsel for the assessee craved that the rate of interest on delayed receivables may be restricted to the directions given by the MAP authorities.
Learned DR relied upon the Orders of the authorities below.
After considering the rival submissions, we are of the view that in this case, it is appropriate to apply 6 months libor + 115 basis points for computing the interest on delayed receivables. We further clarify that we allow the credit period of 30 days only and not the credit period of 90 days as given by the MAP authorities. We are not granting 90 days’ credit period for the reason that the MAP proceedings were relevant for Assessment Years 2014-15 to 2016-17 and not for subsequent years. Further, time and circumstances are changed and MAP guidelines have persuasive value but not binding on the tribunal.
IT(TP)A No.1864/Bang/2024 Page 3 of 4 7. The next issue is denial of deduction under section 80G of the Act to the assessee. It is the case of the Revenue that assessee failed to provide 80G certificates of the concerned persons to whom donations were given. It is also observed by the AO that the certificate submitted by the assessee of the relevant society / Trust was not valid for the impugned year.
The DRP on this issue has observed that the assessee has made payments towards CSR fund to these societies in accordance with section 135 of the Companies Act. The DRP was of the view that CSR donations cannot be claimed under section 80G of the Act.
Submission of the assessee is that the assessee has duly submitted 80G(5)(vi) of the Act. Further, the lower authorities failed to appreciate that these certificates were valid for the impugned year also.
Learned DR relied on the Orders of the authorities below.
After considering the rival submissions, we are of the view that this issue requires fresh consideration at the end of AO. Learned AO will consider the applicability of Circular No.7/2010 dated 27.10.2010 issued by the CBDT. The AO will also examine the issue as to whether the payments were towards CSR payment or towards charitable activities. Similar issue has come up in appeal before the Co-ordinate Bench in ITA No.1693/Bang/2019 in the case of Allegis Services (India) Pvt. Ltd. Vs. ACIT wherein the Hon’ble Bench in para 18 has observed as under:
“18. In present facts of case, Ld.AR submitted that all payments forming part of CSR does not form part of profit and loss account for computing Income under the head, "Income from Business and Profession". It has been submitted that some payments forming part of CSR were claimed as deduction under section A. Y : 2016 - 17 80G of the Act, for computing "Total taxable income", which has been disallowed by authorities below. In our view, assessee cannot be denied the benefit of claim under Chapter VI A, which is considered for computing 'Total Taxable Income". If assessee is denied this benefit,
IT(TP)A No.1864/Bang/2024 Page 4 of 4 merely because such payment forms part of CSR, would lead to double disallowance, which is not the intention of Legislature. 19. On the basis of above discussion, in our view, authorities below have erred in denying claim of assessee under section 80G of the Act. We also note that authorities below have not verified nature of payments qualifying exemption under section 80G of the Act and quantum of eligibility as per section 80G(1) of the Act. 20. Under such circumstances, we are remitting the issue back to Ld.AO for verifying conditions necessary to claim deduction under section 80G of the Act. Assessee is directed to file all requisite details in order to substantiate its claim before Ld.AO. Ld.AO is then directed to grant deduction to the extent of eligibility.”
With these observations, we restore this issue to the file of AO for examining afresh.
In the result, appeal filed by the assessee is allowed for statistical purposes as indicated above.
