KRONOS SOLUTIONS INDIA PRIVATE LIMITED,NEW DELHI vs. DEPUTY COMMISSIONER OF INCOME TAX, DELHI
In favour of the assessee: the assessee's appeal was allowed. From the AI summary of this appeal.
What did the Tribunal hold?
The Tribunal held that the inclusion of Odyssey Technologies Ltd., Domex E-Data Pvt. Ltd., Sasken Technologies Ltd., and Cybage Software Private Limited in the list of comparables was incorrect as they were functionally dissimilar or lacked segmental data. Therefore, grounds of appeal challenging their inclusion and exclusion were allowed. The Tribunal also found that the working capital computation by the AO/TPO was erroneous and set it aside, directing the TPO to re-compute it as per law, accepting Ground of Appeal No. 3.8. Regarding the interest on outstanding receivables, the Tribunal held that the ALP determination for consequential receivables is subsumed within the ALP determination of the principal international transaction. Relying on judicial precedents, including the Hon'ble Delhi High Court in Kusum Healthcare Pvt. Ltd., it was held that no separate ALP determination is required for overdue receivables once the principal transactions are tested at ALP. Therefore, the addition for interest on outstanding receivables was deleted, and Ground of Appeal No. 4 was accepted. The appeal was allowed in favor of the assessee.
What were the facts?
The assessee, Kronos Solutions India Private Limited, filed its return of income for Assessment Year 2022-23. The Income Tax Department selected the case for scrutiny, citing issues related to large international transactions in services, low profitability, non-compliance with Income Computation & Disclosure Standards, and depreciation on assets. The case was referred to the Transfer Pricing Officer (TPO) due to transfer pricing risk parameters. The TPO proposed upward adjustments of Rs. 46,24,44,852/- for software development services and outstanding receivables. The Assessing Officer (AO), after considering the Dispute Resolution Panel's (DRP) order, passed a final assessment order dated 11.12.2025, making an addition of Rs. 35,71,95,576/- on account of the Arm's Length Price (ALP) of international transactions.
What were the issues?
1. Whether the Ld. AO/Ld. TPO/Ld. DRP erred in enhancing the income of the Appellant by INR 341,844,950/- pertaining to provision of software development services to its Associated Enterprise ("AE") by stating that it does not satisfy the arm's length principle, and in doing so, erred in rejecting the ALP determined by the Appellant, not sharing the search strategy, conducting a fresh comparability analysis with erroneous filters, including functionally dissimilar companies, excluding functionally similar companies, committing factual/computational errors, not considering working capital adjusted margins, and disregarding judicial pronouncements (Section 92D, Rule 10D). 2. Whether the Ld. AO/Ld. TPO erred in enhancing the income of the Appellant by INR 1,53,50,626 as notional interest on alleged international transaction of delay in collection of trade receivables from the AEs, by re-characterizing overdue receivables as a deemed loan, arbitrarily determining ALP without comparable uncontrolled transactions, and disregarding judicial pronouncements and agreed credit period (Section 92CA). Assessee's Contentions: - The AO/TPO/DRP erred in not considering segmented results and aggregating different services. - ALP determined by the assessee was rejected without proper justification. - Comparability analysis was flawed, including dissimilar companies and excluding similar ones. - Working capital adjustments were incorrectly computed. - Overdue receivables should not be treated as a separate international transaction, and interest should not be charged, especially considering the agreed credit period and judicial precedents. Revenue's Contentions: - Not recorded in the judgment.
Which sections of the Income-tax Act were involved?
Section 143(3),Section 144C(13),Section 144B,Section 139(1),Section 143(1),Section 28,Section 44DB,Section 143(2),Section 142(1),Section 92CA(a),Section 92CA(3),Section 144C(1),Section 144C(5),Section 92D,Section 234A,Section 234B,Section 234C,Section 234D,Section 270A

P a g e | 12 IT (TP) A No. 4/Del/2026 and S.A. No. 46/Del/2026 Kronos Solutions India P. ltd .
“25. At the outset, it is submitted that the arm's length price determination for the said consequential receivables is subsumed within the arm's length price determination of the principal international transaction itself and therefore no separate arm's length price determination is required once the principal international transactions are tested. In this context, the Appellant places reliance on: Hon'ble ITAT ruling in the case of Kusum Healthcare Pvt. Ltd (ITA No. 6814/Del/2014) which is also is affirmed by the Hon'ble Delhi High Court ("HC") (ITA NO. 765/2016. The relevant extract from the Hon'ble HC ruling is reproduced below for your Honour's ready reference "..... 11. The Court finds that the entire focus of the AO was on just one AY and the figure of receivables in relation to that AY can hardly reflect a pattern that would justify a TPO concluding that the figure of receivables beyond 180 days constitutes an international transaction by itself. With the Appellant having already factored in the impact of the receivables on the working capital and thereby on their pricing/profitability via vis-vis that of its comparables, any further adjustment only on the basis of the outstanding receivables would have distorted the picture and re-characterized the transaction. This was clearly impermissible in law as explained by this Court in CIT v. EKL Appliances Ltd. (2012) 345 ITR 241 (Delhi)..." (Emphasis supplied) 26. The Hon'ble ITAT in the Appellant's own case for AY 2017-18 appreciated the fact that the principal international transaction of provision of software development services taking into account working capital adjustment has been undertaken on arm's length basis and thus the consequential receivables arising out of the said transaction too satisfies arm's length standard and thus separate arm's length determination is not required. 27. Further, the Appellant relied upon case law of Kusum Health Care (P) Ltd. (ITA No. 765/HC/Del/2016) and following the precedents, Hon'ble ITAT directed the Ld. AO/ TPO to delete the transfer pricing adjustment in this regard. The Appellant would also like to place reliance on the following judicial precedents as well: The Hon'ble ITAT judgement in case of Bechtel India Pvt. Ltd., the Delhi High Court (ITA 379/2016) The Hon'ble ITAT judgement in case of BTR Packaging Pvt Ltd in (ITA/1516/Del/2016).

Thereafter, in response to the notice issued by the Ld. TPO under section 92CA (2) of the Act, the information and documents (as prescribed under section 92D of the Act read with Rule 10D of the Income-tax Rules, 1962 ("the Rules")] maintained by the Appellant were submitted to the Ld. TΡΟ rejected the economic analysis undertaken by the Appellant in the TP documentation and instead, the Ld. TPO substituted the results of Appellant's economic analysis with the results of fresh set of comparables selected by applying different quantitative filters.
8.3 Further, Ld. TPO has proposed to recharacterize overdue receivables from the AEs as a deemed loan stating that it constitutes a separate international transaction.

8.4 The Ld. TPO adopted to reject the SDS and ITeS Segment reported by the Assesee and followed the below approach for benchmarking Appellant's international transaction pertaining to provision of software development services.
Fresh search for comparables based on application of additional/ modified filters: The Ld. TPO rejected the economic analysis undertaken by the Appellant in its TP documentation and undertook a fresh search based on additional /modified filters.
Economic analysis of the Ld. TPO: The Ld. TPO arbitrarily rejected the filters adopted by the Appellant in the TP documentation and imposed additional filters for the selection of comparables. Based on the modified economic analysis, the Ld. TPO arrived at a final set of 24 companies with an arm's length margin of 14.19% to 33.79% with median of 21.73%.

Accordingly, grounds of appeal No. 3.4 and 3.5 challenging inclusion of comparables and ground No. 3.6 challenging exclusion of comparables are allowed.
8.13 The Appellant submitted the final set of comparables (after exclusion of the four comparables) as tabulated below: -
P a g e | 25 IT (TP) A No. 4/Del/2026 and S.A. No. 46/Del/2026 Kronos Solu tions India P. ltd .
8.14 From above, it is evident that the detailed working capital computation
in compliance with the directions of the Hon’ble DRP furnished by the
Appellant was incorrectly rejected, and instead Ld. TPO carried out an
erroneous working capital computation. Therefore, the working capital

adjustment as computed by the Ld. AO/Ld. TPO is set aside, and Ld. TPO is directed to re-compute working capital adjustment as per law. Accordingly, Ground of Appeal No. 3.8 is accepted in above terms.
Regarding Ground of Appeal No. 4, it is evident that arm's length price determination for the said consequential receivables is subsumed within the arm's length price determination of the principal international transaction itself and therefore no separate arm's length price determination is required once the principal international transactions are tested.
9.1 The Appellant placed reliance on:
Hon'ble ITAT ruling in the case of Kusum Healthcare Pvt. Ltd (ITA No. 6814/Del/2014) which is also is affirmed by the Hon'ble Delhi High Court ("HC) (ITA NO. 765/2016. The relevant extract from the Hon'ble HC ruling is reproduced below for your Honour's ready reference. "..... 11. The Court finds that the entire focus of the AO was on just one AY and the figure of receivables in relation to that AY can hardly reflect a pattern that would justify a TPO concluding that the figure of receivables beyond 180 days constitutes an international transaction by itself. With the Appellant having already factored in the impact of the receivables on the working capital and thereby on their

pricing/profitability via vis-vis that of its comparables, any further adjustment only on the basis of the outstanding receivables would have distorted the picture and re-characterized the transaction. This was clearly impermissible in law as explained by this Court in CIT v. EKL Appliances Ltd. (2012) 345 ITR 241 (Delhi)..." (Emphasis supplied)
9.2 The Hon'ble ITAT in the Appellant's own case for AY 2017-18 appreciated the fact that the principal international transaction of provision of software development services taking into account working capital adjustment has been undertaken on arm's length basis and thus the consequential receivables arising out of the said transaction too satisfies arm's length standard and thus separate arm's length determination is not required.
9.3 In light of above facts and judicial precedent, it is held that Ld. AO/TPO erred in making working capital adjustment for interest on outstanding receivables and same are deleted. Accordingly, Ground of Appeal No. 4 is accepted.
In view of above decision of appeal, Stay Application has been rendered infructuous.
P a g e | 28 IT (TP) A No. 4/Del/2026 and S.A. No. 46/Del/2026 Kronos Solutions India P. ltd .
In the result, the appeal filed by the assessee is allowed and Stay Application is dismissed as infructuous.
