What did the Tribunal hold?

The Tribunal held that each application for registration must be considered independently, and an earlier rejection does not operate as res judicata in income tax proceedings. The Tribunal found that the impugned order lacked independent application of mind to the documents filed with the fresh application, and the rejection was mechanical, based on past conclusions. It noted that there is no provision in the Act to deny registration under Section 12AB if statutory requirements are later met. The fact that the assessee did not appeal the original rejection should not prejudice their eligibility if conditions are complied with. The Tribunal referred to the Delhi High Court's decision in CIT Vs O.P.Jindal Global University, which stated that Section 12AA (now 12AB) examines the genuineness of objects, not the application of income. The Tribunal also noted that the assessee amended its bye-laws w.e.f. 02.02.2024, which the CIT(E) ought to have examined. Consequently, the Tribunal set aside the impugned orders, holding them unsustainable as they were passed without examining the present application on merits. The matter was restored to the CIT(E) with a direction to examine the application afresh, considering the documents and explanations, and pass a speaking order. The grounds raised by the assessee were allowed statistically.

What were the facts?

The assessee, M/s. The Society of Neurosonology, filed appeals against the rejection order dated 30.10.2025 passed by the CIT(Exemptions), Bangalore. This order denied the assessee registration under sections 12AB and 80G of the Income Tax Act, 1961. The assessee was initially granted provisional registration under sections 12AB and 80G for AY 2023-24 to 2025-26 on 03.08.2022. A subsequent application for registration under section 12AB was rejected by the CIT(E) on 29.03.2023. The assessee then filed a fresh application in Form 10AB on 03.05.2025. The CIT(E) rejected this fresh application vide orders dated 30.10.2025, deeming it not maintainable because the earlier rejection order dated 29.03.2023 was not challenged before the Tribunal.

What were the issues?

1. Whether the CIT(E) erred in rejecting the fresh application for registration under sections 12AB and 80G of the Income Tax Act, 1961, based on a previous rejection order without considering the current facts and material on record? Assessee's contentions: - The earlier rejection was based on the prohibition of receiving "sponsorship fees" as per Indian Medical Council Regulation, 2002, and CBDT circular 5/2012, which are applicable to individual doctors, not societies. - The assessee filed a fresh application in Form 10AB on 03.05.2025. - The CIT(E) erred by rejecting the fresh application based on the previous rejection without independent consideration of the current facts and documents. - The matter should be remanded to the CIT(E) for consideration of the fresh application. Revenue's contentions: - The learned DR relied on the orders of the lower authorities.

The assessee was registered as a society under Karnataka Societies Registration Act, 1960 by Registrar of Societies, Karnataka on 22.04.2014. Assessee was originally granted provisional registration under 12AB and

80G of the Act on 03.08.2022 for the Assessment Year 2023-24 to 2025- 26. Assessee has also filed application for registration under section 12AB of the Act on 13.10.2022 which was rejected by the learned CIT(E) vide order dated 29.03.2023 after due consideration of the documents and facts on record. Subsequently, assessee filed fresh application in Form 10AB on 03.05.2025 seeking grant of registration under sections 12AB and 80G of the Act. However, the learned CIT(E) on perusal of the earlier orders dt 29.03.2023, rejected the applications dt 03.05.2025, vide orders dt 30.10.2025, as not maintainable since the assessee has not challenged the rejection order dated 29.03.2023 before the Tribunal.

3.

On being aggrieved by the orders of the learned CIT(E) dt 30.10.2025, assessee is in appeal before us. The only issue emanating from the grounds is with respect to rejection of registration under sections 12AB and 80G of the Act based on previous rejection order. Assessee submitted that earlier rejection was merely based on the provisions prohibiting the assessee to receive “sponsorship fees” as expressively prohibited by the Indian Medical Council Regulation, 2002, and also by relying on CBDT circular 5/2012 dt 01.08.2012. The learned AR further submitted that these regulations are applicable to individual doctor and not to the society receiving sponsorship fees. The learned AR further submitted subsequently the assessee filed fresh application in Form 10AB on 03.05.2025. The learned CIT(E) erred in rejecting the fresh application for registration dt 03.05.2025, based on the previous rejection without considering the current facts and the material on record. He therefore pleaded that the file may be

remanded back to the learned CIT(E) for consideration of the fresh application considering the present documents on record.

4.

Per contra, the learned DR relied on the orders of the lower authorities.

5.

We have heard the rival contentions and perused the material available on record. It is an undisputed fact that the learned CIT(E) has placed reliance on the earlier rejection order and while rejecting the present application filed by the assessee on 03.05.2025. In our view, each application for registration is required to be considered independently whereas the earlier rejection does not operate as res judicata in income tax proceedings. We find that in the present case, the impugned order does not demonstrate any independent application of mind to the documents filed with the fresh application. The rejection is thus mechanical and based on past conclusions. However, there is no provision in the Act to deny registration under Section 12AB of the Act, if all statutory requirements are later met. Therefore, the rationale provided by the CIT(E) for rejecting the present fresh application based on the earlier denial is not supported by law. Furthermore, the fact that the assessee did not appeal against the original rejection should not prejudice their eligibility for registration, provided the conditions stipulated in the Act are complied with by the assessee. The Hon'ble Delhi High Court in the case of CIT Vs O.P.Jindal Global University, I.T.A. No. 190/2011 and 285/2012 dated 2.5.2013, under similar circumstances, has held as under:

ITA Nos.3079, 3080/Bang/2025 Page 4 of 5

"Therefore, the object of Section 12AA of the Act, is to examine the genuineness of the objects of the Trust, but not the income of the Trust for charitable or religious purposes. The stage for application of income is yet to arrive i.e. when such Trusts or institution files its return.

6.

It is also noted from the records produced before us, the Society has amended the bye-laws w.e.f. 02.02.2024. The learned CIT(E) ought to have freshly examined the amended bye laws to ascertain the objects and genuineness of the activities of the Trust based on the current material furnished by the assessee. In view of the aforesaid discussions, we find that orders passed by the learned CIT(E) in rejecting the registration u/s 12AB and u/s 80G is not sustainable as it has been passed without examining the present application on merits. We, therefore, set aside the impugned orders and the matter is restored to the file of learned CIT(E) with a direction to examine the application afresh with reference to the documents and explanations filed by the assessee and pass a speaking order in accordance with law, after providing reasonable opportunity of being heard to the assessee. Thus, the grounds raised by the assessee are allowed statistically.
