What did the Tribunal hold?

The Tribunal held that the addition made solely based on the insight portal information, without corroborative material and disregarding the assessee's documentary evidence, could not be sustained. The AO and CIT(A) failed to provide evidence to support the larger profit claim.

What were the facts?

The Assessing Officer (AO) reopened the assessment based on information from the department's portal indicating a large profit from penny stock trading. The assessee claimed to have only earned a small Short Term Capital Gain (STCG) and denied the larger profit attributed to them.

What were the issues?

Whether the addition of profit from penny stock trading is justified solely on the basis of departmental portal information without corroborative evidence. Whether the assessee's claim of STCG is acceptable against the alleged larger profit.

Which sections of the Income-tax Act were involved?

Section 69A,Section 115BBE,Section 10(38),Section 148

Income Tax Appellate Tribunal, ‘C’ BENCH: CHENNAI

Before: SHRI GEORGE GEORGE KAND MS. PADMAVATHY.S

आदेश / O R D E R

PER PADMAVATHY.S, A.M: This appeal by the assessee is against the order of the Commissioner of Income Tax (Appeals)/National Faceless Appeal Centre (NFAC), Delhi, (in short "CIT(A)") passed u/s. 250 of the Income Tax Act, 1961 (in short "the Act") dated 29.08.2025 for Assessment Year (AY) 2013-14. The grounds of appeal raised by the assessee are as under: “1. Learned Commissioner of Income-tax (Appeals) is not justified in confirming addition made to returned income, under a factually incorrect view that the assessee "transacted in penny stock share" and had "fictitious profit amounting to Rs. 1,39,37,280/", while such transaction was not at all entered into.

2.

While the said amount was not claimed as earned nor transacted Learned Commissioner (Appeals) ought not to have held it as taxable, disallowing a "claim" under section 10(38) not actually made. 3. As no Long Term Capital Gain was derived, nor claimed as derived, from sale of shares but taxable Short Term Capital Gain alone earned and admitted in the return, increasing the income on assumption is unjustified. 4. Not having found the assessee to be owner of any unrecorded amount profited, provisions of Section 69A ought not to have been invoked resulting in Computation of Income-tax under section 115BBE at special higher rate. 5. Having accepted that amended provisions of Section 148 were applicable, issuance of a notice under this Section ought not to have been held correct, while relevant Explanation 1 to Section 148 invoked, came into effect as from 01-04-2021. 6. Learned Commissioner (Appeals) ought not to have rejected the request for grant of a copy of reason recorded for issuing the notice under section 148. 7. Elaborate outline of modus operandi of accommodation entries in the assessment order, ought not to have been relied on by Learned Commissioner (Appeals), as they do not factually apply to the assessee. 8. Order of Learned Commissioner (Appeals) should have discussed all the Grounds of Appeal and contents of Written Submissions dated 15-05- 2025. "... Though it states that the response filed by the petitioner was considered and found to be unacceptable, no reasons why the response was not found to be acceptable are reflected in the impugned order...." (344 CTR 1 Bombay High Court at 7 - (TPL- HGIEPL Joint Venture vs. Union of India) 9. For these and other reasons, which may be stated at the time of hearing of the appeal, it is prayed that the addition of Rs. 1,39,37,280/- made to returned income, may please be deleted.”

2.

The assessee is an individual and filed the return of income for AY 2013-14 declaring total income of Rs. 12,87,250/-. The A.O noticed from the information available in the insight portal of the Department that the assessee had earned a profit of Rs.1,39,37,280/- by trading in the penny stock share of

M/s. Out of City Travel Solutions Ltd. (subsequently known as Tilak Ventures Ltd.). The A.O accordingly reopened the assessment by issuing notice u/s. 148 of the Act. The assessee in response to the show cause notice issued by the A.O submitted that the assessee had not claimed exemption on the Long Term Capital Gain (LTCG) towards trading in the impugned shares and that the information with regard to entries found in the insight portal may be due to someone misusing the assessee's PAN details. The A.O did not accept the submissions of the assessee and proceeded to treat the amount of Rs. 1,39,37,280/- u/s. 69A r.w.s. 115BBE of the Act. Aggrieved, the assessee filed further appeal before the CIT(A). Before the CIT(A), the assessee submitted that though the assessee has traded in the impugned shares, the assessee has actually earned a Short Term Capital Gain (STCG) of Rs.4,05,672/- which has been offered to tax in the return of income filed by the assessee for AY 2013-14. The assessee also filed the necessary documentary evidences in this regard. The CIT(A) however did not accept the submissions of the assessee that the claim of the declaration of STCG is self serving and not corroborated against the departmental data. Accordingly, the CIT(A) dismissed the appeal filed by the assessee. The assessee is in appeal before the Tribunal against the order of the CIT(A).

3.

The Ld. Authorized Representative (AR) of the assessee during the course of hearing submitted the following details with regard to the STCG declared by the assessee in the return of income:

4.

The Ld. AR further submitted that the assessee was holding only 9,000 shares of M/s. Out of City Travel Solutions Ltd. out of which 1851 shares were sold during the year under consideration. The Ld. AR in this regard drew our attention to the brokers' statement (page 81 of paper book). The Ld. AR also submitted that the assessee during the course of hearing has submitted all the relevant details including the contract notes, bank statements etc. to substantiate the actual trading done by the assessee in the impugned script. The Ld. AR argued that the assessee cannot be asked to prove negative factor and the addition merely based on the information available in insight portal without any corroborative material cannot be sustained.

5.

The Ld. Departmental Representative (DR), on the other hand, relied on the orders of the lower authorities.

6.

We have heard the parties, and perused the material available on record. The A.O has made an addition u/s. 69A of the Act in the assessee' case based on the information available in the insight portal of the Department stating that the assessee has made a profit of Rs.1,39,37,280/- from the trading in the shares of M/s. Out of City Travel Solutions Ltd. which is a penny stock. On perusal of the order of the A.O, we notice that the A.O has given detailed finding with regard to the investigation report, modus operandi and exit providers etc. however, it is noticed that the A.O has not recorded any finding with regard to the details submitted by the assessee and on what basis the impugned addition is made in the hands of the assessee other than the information from the insight portal. On perusal of the brokers’ statement, we notice that the assessee's holding of the shares of M/s. Out of City Travel Solutions Ltd. is only 9,000 out of which 1851 shares are sold during the year

under consideration. The relevant extract of brokers statement is given as under:

7.

Even the CIT(A) while upholding the order of the A.O has not brought any material on record to substantiate the contention that the assessee has indeed made the profit as mentioned in the insight portal information but has sustained the addition stating that the claim of STCG offered by the assessee from the impugned shares is a self serving document. Even during the course of hearing before us, the Revenue did not bring anything on record in support of the addition made in the hands of the assessee. In the given case, it is not in dispute that the assessee has traded in the shares of M/s. Out of City Travel Solutions Ltd. which is a penny stock and that the assessee has made a profit of Rs. 2,14,530/- from the sale of the said shares. The dispute is only with regard to the quantum of profit earned by the assessee and whether the assessee has claimed exemption u/s. 10(38) of the Act towards LTCG on the same. The contention of the Revenue that the assessee has not submitted any details with regard to the impugned transactions is not tenable for the reason that the assessee is denying the entire transaction and that the assessee cannot be expected to prove a negative fact that he has not earned the LTCG as alleged by the revenue. As already mentioned the revenue has not brought on record any material other than the information from the insight portal to substantiate the contention that the assessee has indeed earned the profit as claimed by the Revenue. Considering the overall facts and circumstances of

the case and the documentary evidences placed on record, we are of the considered view that the addition made merely based on the information contained in the insight portal without any corroborative material and without considering the documentary evidences submitted by the assessee cannot be sustained. Accordingly, we direct the A.O to delete the addition made in this regard.

8.

In the result, the appeal of the assessee is allowed. Order pronounced on 10th day of July, 2026 at Chennai.
