Income Tax Appellate Tribunal, PANAJI BENCH, ‘DB’ PANAJI
Before: DR.MANISH BORAD & SHRI VINAY BHAMORE
PER BENCH : The captioned appeals filed by the different assessees are directed against the separate orders of ld.CIT(A)-2, Panaji arising out of respective Assessment Orders passed u/s.153A r.w.s.143(3) of the Income Tax Act, 1961 (in short ‘the Act’)
Since common issue is raised by the respective assessee(s) in this bunch of appeals, we are therefore proceeding to dispose of the same by this consolidated order for the sake of convenience.
The common issue raised in this bunch of appeals is that ld.CIT(A) erred in denying the benefit of exemption u/s.10(38) of the Act for the long term capital gain earned by the respective assessee(s) from sale of Equity shares of Turbotech Engineering Limited.
Facts in brief commonly applicable to the captioned assessee(s) are that Equity shares of Turbotech Engineering Limited were purchased by the respective assessees through offline mode. Thereafter, the shares were converted into Demat form and after holding the Equity shares for more than one year respective assessee(s) have sold the same on the recognized stock exchange through a SEBI registered Broker and made making payment of the Securities Transaction Tax and has claimed the benefit of deduction u/s.10(38) of the Act for the following amounts :
Assessee name A.Y. LTCG claimed u/s.10(38) Divya Mittal 2013-14 1,45,89,600.00 Divya Mittal 2014-15 65,31,120,00 Kumud Mittal 2013-14 1,64,19,500.00 Kumud Mittal 2014-15 43,15,080.00 Harshvardhan Mittal 2013-14 1,72,06,614,00 Harshvardhan Mittal 2014-15 89,87,090,00 Achintya Mittal 2014-15 1,17,32,910.00 Sumitra Devi 2014-15 74,40,285.00
At the outset, ld. Counsel for the assessee submitted that the issue raised in the instant bunch of appeals stands squarely covered by plethora of decisions where the long term capital gain u/s.10(38) of the Act from sale of very same scrip namely Turbotech Engineering Limited have been held to be genuine and not held to be a Penny Stock company. Ld. Counsel for the assessee referring to pages 52 to 69 of the paper book which is the order of Adjudicating Officer of Securities and Exchange Board of India (SEBI) u/s.15-I of the SEBI Act, 1992 r.w. Rule 5 of SEBI (procedure for holding inquiry and imposing penalties) Rules, 1995 passed in the case of Turbotech Engineering Limited and submitted that in the said order only 09 companies have been referred and that name of the assessee is not appearing in the said order which clearly indicates that assessee(s) are not part of any alleged racket of accommodation entry provider and therefore claim of long term capital gain u/s.10(38) of the Act deserves to be allowed. He also submitted that name of Turbotech Engineering Limited is not falling in the list of 331 companies issued by SEBI alleged to be Penny Stock companies placed at pages 42 to 51 of the paper book. The decisions referred and relied on by the ld. Counsel for the assessee(s) are as follows :

On the other hand, ld. DR vehemently argued supporting the orders of the lower authorities and submitted that sale of Equity shares of Turbotech Engineering Limited has been held to bogus based on the information received by the Investigation Wing, Kolkata and that the entry operators have rigged the prices in order to provide accommodation entries to various parties and therefore ld.CIT(A) has rightly affirmed the action of the Assessing Officer treating the alleged long term capital gain claimed by the respective assessee(s) u/s.10(38) of the Act as bogus.
We have heard the rival contentions and perused the record placed before us and carefully gone through the decisions relied on by both the sides. We notice that the assesee(s) in the instant bunch of appeals have earned long term capital gain from sale of Equity shares of Listed company Turbotech Engineering Limited. There is no dispute to the fact that respective assessee(s) have purchased allegedly equity shares offline mode and subsequently have lodged the Equity share certificates with the Demat authority which in the instant case is M/s.Religare Securities Limited and have held the alleged Equity shares for more than 12 months prior to that sale. Though respective assessee(s) have filed Demat account in the paper book, we have examined the Demat account of Smt. Divya Mittal placed at pages 17 to 19 of the paper book and similar Demat Accounts have been furnished for all the remaining assessee(s) and we find that the Equity shares purchased by the respective assessee(s) have been converted into Demat form. Thereafter, Equity shares have been held more than 12 months and have been sold online on the recognized exchange of SEBI through registered broker and Securities Transaction Tax has been paid on the sale transactions. It is an admitted fact that when the shares are sold on the recognized stock change, the identity of buyer is not known to the sellers and the Equity shares price keep on fluctuating on day to day basis. Whenever a person wants to sell the Equity shares same can happen only when there is buyer appearing on the online platform and thereafter the transaction is concluded and that sale consideration is not received directly to the bank account of the seller but it is firstly received by the broker of the buyer and then to the registered broker of seller and then it reaches to the bank account of the seller and all the transactions of movement of funds is under watch of the SEBI and the amount is received only when the seller signs the slips for selling the Equity shares which is given to the Demat authorities and thereafter the sale proceeds are received in the bank account which is linked to the Demat account. This process has been taken up in all the respective assessee(s) in the instant bunch of cases.
For better understanding and adjudication of the issue on hand, we proceed to extract section 10(38) of the Act in which the assessee(s) have claimed exemption and the same reads as under :
“Incomes not included in total income.
In computing the total income of a previous year of any person, any income falling within any of the following clauses shall not be included—
……………………….
………………………. (38) any income arising from the transfer of a long-term capital asset, being an equity share in a company or a unit of an equity oriented fund 72[or a unit of a business trust] where— (a) the transaction of sale of such equity share or unit is entered into on or after the date on which Chapter VII of the Finance (No. 2) Act, 2004 comes into force; and (b) such transaction is chargeable to securities transaction tax under that Chapter :
Provided that the income by way of long-term capital gain of a company shall be taken into account in computing the book profit and income-tax payable under section 115JB :
[Provided further that the provisions of this clause shall not apply in respect of any income arising from transfer of units of a business trust which were acquired in consideration of a transfer referred to in clause (xvii) of section 47.]]
Explanation.—For the purposes of this clause, "equity oriented fund" means a fund— (i) where the investible funds are invested by way of equity shares in domestic companies to the extent of more than sixty-five per cent of the total proceeds of such fund; and (ii) which has been set up under a scheme of a Mutual Fund specified under clause (23D) :
Provided that the percentage of equity shareholding of the fund shall be computed with reference to the annual average of the monthly averages of the opening and closing figures;”
On examining the facts of the instant case, we note that assessee(s) have fulfilled the relevant conditions required for claiming exemption u/s.10(38) of the Act for long term capital gain from sale of Equity shares of Turbotech Engineering Limited held for more than one year and sold on the recognized stock exchange controlled by SEBI after payment of Securities Transaction Tax. Genuineness of purchase is not in dispute and that the shares have been held for more than one year in the Demat account and the sale consideration has been received through banking channel from the recognized stock exchange platform through the registered broker to the bank account of the assessee(s) linked to the Demat account and that the buyer of the alleged Equity shares is not known to the seller. Therefore, genuineness of alleged transactions of sale of Equity shares of Turbotech Engineering Limited giving rise to long term capital gain stands proved.
We however take note that this issue has come up for adjudication on multiple occasions before the various Coordinate Benches.
We take note of the decision of Coordinate Bench, Nagpur in the case of Shakuntala Vishnukumar Agrawal Vs.
ITO – ITA No.10/NAG/2026 dated 25.03.2026 wherein the Tribunal adjudicated identical issue holding as under :
“5. I have heard the rival contentions and perused the record placed before me. I observe that the assessee is an individual and declared income of Rs.4,57,730/- in the e-return of income for A.Y. 2015-16 furnished on 22.03.2016. During the year, the assessee sold 1500 Equity shares of M/s. Kappac Pharma Limited and earned long term capital gain of Rs.8,41,056/- and claimed the exemption u/s.10(38) of the Act. Ld. Counsel for the assessee has referred to various documents filed in the paper book demonstrating the proof of purchase, demat account for holding the shares for more than a year and also the contract notes issued by the registered broker of SEBI showing that Equity shares have been sold on the online platform controlled by Securities and Exchange Board of India and Securities Transaction Tax has been paid on sale of Equity shares. I further find that under similar set of facts and circumstances, the issue came up in the case of husband of the assessee namely Vishnukumar Ramswaroop Agrawal and vide order dated 12.02.2026 the claim of exemption u/s.10(38) from sale of Equity shares of M/s. Kappac Pharma Limited has been held to be genuine and the finding of this Tribunal reads as under :
“5. I have heard rival contentions and perused the records placed before me. I observe that assessee is individual and declared income of ₹ 5,18790/- in the e-return for A.Y. 2014-15 furnished on 31.01.2015. After the case being selected for scrutiny under CASS followed by validly serving statutory notices, assessment proceedings have been carried out. Ld.AO observed that assessee has claimed LTCG of ₹16,48,270/- from sale of 2500 equity shares of M/s.Kappac Pharma Ltd. The gross sale consideration is ₹16,82,500/- and after deduction of brokerage and Security Transaction Tax (STT), net sale amount of ₹ 16,75,770/-. Assessee has purchased 4000 equity shares on 12.10.2012, out of which assessee has sold 2500 equity shares costing to ₹27,500/-. Ld.AO based on information received in the course of survey operations u/s. 133A of the Act at the office premises of M/s. Devshyam Stock Broking Pvt. Ltd., Kolkata came to a conclusion that M/s. Kappac Pharma Ltd. is a penny stock company and the market rate of these shares are not based on the business results of the company, but rather fluctuated by insider trading from negligent price to very high price and vice versa. Ld.AO concluded the proceedings making the addition u/s. 68 of the Act for the total sale consideration of ₹16,82,500/- and also made addition for unexplained expenditure u/s. 69C of the Act at ₹ 84,125/- for arranging of such alleged bogus LTCG. The assessee has failed to get any relief from Ld. CIT(A). Before me, learned counsel for the assessee has referred and relied on plethora of decisions wherein the decision referred by the Ld.DR duly stands considered.
I first take note of the decision of this Tribunal at Indore in the case of Shri Jayesh Kumar Javia (HUF) vs. ITO in ITA No. 464/IND/2019, dated 25.05.2021 which is authored by the undersigned member and the very same issue about the genuineness of LTCG u/s. 10(38) of the Act from sale of equity shares of M/s. Kappac Pharma Ltd. was under consideration and the coordinate bench Indore held in favour of the assessee allowing the claim of LTCG u/s. 10(38) and also deleting the addition for brokerage expenditure u/s. 69C of the Act. Subsequently, the Department carried the matter before the Hon'ble Madhya Pradesh and the Hon'ble Court vide order dated 16.05.2024 has affirmed the order of coordinate bench Indore thereby dismissing the Revenue’s appeal.
Similarly, the issue about the genuineness of loss incurred from transacting equity shares of M/s. Kappac Pharma Ltd. came up for consideration before the Hon'ble High Court of Gujarat in the case of Affluence Commodities (P.) Ltd. (supra) and the Hon'ble Court has observed that they are in complete agreement with the finding of Ld.CIT(A) and the Tribunal to the effect that assessee has proved the genuineness of the transaction established on online trading platform and that it had no control whatsoever on share price. The Hon'ble Court has further with regard to shares of M/s. Kappac Pharma Ltd. affirmed the view taken by the Tribunal that since market rate was lower, the assessee has incurred business loss. The Hon'ble Court has held that no question of law much less any substantial question of law would arise and accordingly appeal of the Revenue being devoid of any merits, is dismissed.
In the light of the above judgments, where the transactions carried out by the respective assessees from sale of equity share of M/s. Kappac Pharma Ltd. have been found to be genuine, I note that in the instant case also, assessee has kept the equity shares in Demat account and after holding them for more than a year, has sold equity shares through registered sale broker on online platform of the recognized stock exchange and that the shares have been sold on the live share price appearing on the recognized stock exchange controlled by the SEBI. The assessee also duly paid STT and therefore has fulfilled all the conditions prescribed u/s. 10(38) of the Act for claiming benefit of exemption of LTCG from sale of equity shares.
Respectfully following the decisions referred herein above of the Hon'ble High Court of Madhya Pradesh in the case of Shri Jayesh Kumar Javia (HUF) (supra) and that of Hon'ble High Court of Gujarat in the case of Affluence Commodities (P.) Ltd. (supra) which has been subsequently affirmed by the Hon'ble Apex Court vide order dated 08.08.2025 (177 taxman.com 352), the alleged claim of assessee u/s. 10(38) of the Act stands allowed. Further, since LTCG u/s. 10(38) of the Act has been found to be genuine, finding of Ld.CIT(A) is reversed and the impugned addition of ₹ 16,82,500/- made u/s. 68 of the Act stands deleted and since I have hold the alleged LTCG to be genuine, therefore, addition for unexplained expenditure u/s. 69C of the Act at ₹ 84,125/- also stands deleted. Effective grounds of appeal raised by the assessee are allowed.”
Respectfully following the above decision and the facts being identical to the facts of the case held by the Tribunal (supra), I hereby allow Ground No.4 raised by the assessee holding that the assessee has made a genuine claim of exemption u/s.10(38) of the Act at Rs.8,41,056/-. Finding of ld.CIT(A) is reversed and impugned addition is deleted. Ground No.4 raised by the assessee is allowed.”
We also take note of the decision of Coordinate Bench, Panaji in the case of Priyanka Aggarwal Vs. ITO – ITA No. 406/PAN/2018 where also the purchases were made through offline mode and shares have been sold on the online platform and that since the conditions required u/s.10(38) of the Act fulfilled by the assessee, the Tribunal has allowed the claim u/s.10(38) of the Act observing as follows :
“7. We note that the only issue before us is in respect of treatment of profit earned by the assessee on sale of shares as Long Term Capital Gain claimed by her or as Short Term Capital Gain as assessed by the ld. AO. If it is treated as Long Term Capital Gain, it is exempted u/s 10(38) of the Act and if it is considered as Short Term Capital Gain, it is subjected to tax under the Act. The relevant extracts from the order of ld. AO is reproduced as under: “During the course of assessment proceedings, it is noticed that assessee has earned an income of Rs.43,48,421/- as profit on sale of shares and claimed exemption of the entire income u/s. 10(38) of IT Act. The assessee’s AR was asked to furnish the details regarding date and cost of acquisition of the shares purchased and sold. The AR has stated that the share transactions are carried out through the broker M/s. Religare Securities Limited. He has furnished copy of ledger extracts and statement obtained from M/s. Religare Securities Ltd., in support of sale j of shares of M/s.Turbotech Engineering made through M/s. Religare Securities Ltd., with Account Code PS9735, but no proof in support of Securities Transaction Tax paid and also no documentary evidence regarding purchase of shares has been furnished. The AR has also produced contract note/ share transfer form for purchase and sale of shares and demat statement. Further it is stated that the shares purchased are in physical form and after transfer to demat account the same are sold in demat form. During the course of assessment proceedings the AR was asked to furnish the documentary evidence in respect of shares purchased are also the sources of investment in purchase of shares. The AR has submitted copy of share transfer deed, share certificates, debit note, receipt ledger extracts etc. Further, the AR has stated that assessee has purchased shares in FY 2011-12 in physical form, from M/s. Corporate Commodity Brokers Pvt. Ltd. The sources for the payment was from our regular income, gift received and savings for which we have also filed our income tax return. The assessee’s authorized representative has filed a letter dated 06.12.2016 enclosing the details of S.T.T. paid along with copies of Contract Notes/ share transfer form from Religare Securities Ltd. However, no proof or documentary evidence have been produced in respect of the sources of investments. It is clear that the shares have been purchased in cash however, sources of investment have not been proved. On verification of the website of stock brokers, there are no transactions on the said date of purchase made by the assessee. The assessee has stated that these shares have been purchased from recognized stock exchange through stock broker, however, as per SEBI laws, the broker is not empowered to accept cash in excess of rupees fifty thousand towards purchase. No documentary evidence have been produced by the assessee in support of her claim that shares were purchased in 2011-12. In view of the above, it is evident that the assessee has made the purchases during the year and not during the year 2011-12 and also has failed to explain the sources of investment. Considering the above facts and also based on the reasons for selection being “suspicious Long Term Capital Gains” the claim of the assessee regarding exemption u/s. 10(38) is disallowed and Rs.43,48,421/- are brought to tax under the head income from “Short Term Capital Gains”.
From the perusal of the assessment order, we note that ld. AO has called for various documentary evidences and details, all of which have been placed on record by the assessee as referred by the ld. Counsel in his submission. Ld. AO has acknowledged and confirmed the submission of all the relevant documentary evidences stated in the order itself. We also note that ld. AO has observed that shares have been purchased in cash. Further, despite the documentary evidences placed on record in respect of purchase of shares, ld. AO noted that no documentary evidences have been produced to support the claim that shares were purchased in F.Y. 2011-12 and thus he arrived at a conclusion that the year of purchase is the current year under the consideration and not the financial year 2011-12. By considering the purchases as made during the year which in our observation is without any basis, ld. AO treated the Long Term Capital Gain on sale of shares as Short Term Capital Gain and brought it to tax under the Act.
Considering the facts and circumstances of the case and the material placed on record which has not been doubted or disputed by the ld. AO, we find it proper to treat the profit on sale of shares as Long Term Capital Gain. It has been claimed as exempt u/s 10(38) of the Act by the assessee and thus we set aside the treatment given by the ld. AO of Short Term Capital Gain. Accordingly, the appeal of the assessee is allowed.
In the result, the appeal of the assessee is allowed.”
Further, we take note that similar issue regarding genuineness of long term capital gain u/s.10(38) of the Act from sale of Equity shares of Turbotech Engineering Limited has come up before the Coordinate Bench, Indore in the case of Suresh Khandelwal Vs. ITO – ITA No.7/Ind/2019 dated 25.06.2021 and the Tribunal following the decision of Coordinate Bench, Delhi in the case of Swathi Luthra Vs. ITO (2019) 76 ITR 432 has allowed the benefit of claim u/s.10(38) of the Act holding that genuine long term capital gain has been earned by the assessee from sale of Equity shares of Turbotech Engineering Limited.
We also take note of the decision of Coordinate Bench, Engineering Limited and has held as under :
“7. Heard both the parties and perused all the relevant material available on record. There is a delay of 37 days in filing the appeal, for which, the reason given by the assessee appears to be genuine, hence delay is condoned. It is pertinent to note that in the present case the case, the assessee has purchased the shares offline at Rs.5/- per share (900 shares). Thus, in total the assessee purchased the shares for only Rs.45,000/-. The assessee purchased these shares through private placement with Vijay Bhagwandas & Co. Contract note Assessment Year: 2014- 15 was not produced related to Vijay Bhagwandas & Co. but the evidences related to transfer of shares through Vijay Bhagwandas & Co. who was share trading stock broker registered under SEBI was given by the assessee before the Assessing Officer. The assessee paid the amount for purchase of these shares through cheque and the certificate of the said shares were also taken on record. But at the same time, while selling of the said shares in the month of July 2013 prior to month of the said selling the assessee has converted the shares/dematerialised the shares on 29.05.2013 which is after 25 months from the date of purchase. The Assessing Officer in the Assessment Order at page no.13 has given the finding in respect of the assessee's purchase and sale activities wherein it was stated that the sale consideration is in fact first paid by the assessee in cash who has trusted confidence in broker but the said fact appears to be not correct. The Assessing Officer has not stated out as to how the assessee is involved in price variation of the said scrip of Turbotech Engineering Limited during that period while selling the said shares/scrip. Besides this, the suspension of the said scrip came much after selling of the said scrip carried out by the assessee. Therefore, the assessee has rightly claimed exemption under Section 10(38) of the Act. The Assessing Officer as well as the CIT(A) has not established that the assessee was involved in the price manipulation of the sales scrip and, therefore, this cannot be treated as unexplained money under Section 69A of the Act. As regards the reopening of the assessee's case, the reopening was properly done with proper procedure followed by the Assessing Officer and, therefore, ground no.2 in that respect is dismissed but on merit i.e. ground no.2 (actually 3) is allowed.”
Respectfully following the decisions (supra) and there being no other contrary decisions placed before us by the Revenue authorities, we are inclined to follow the rule of consistency as the very same issue of genuineness of long term capital gain u/s.10(38) of the Act from the very same scrip Turbotech Engineering Limited has been adjudicated by the Tribunal in plethora of decisions referred (supra) consistently holding that the claim of long term capital gain us.10(38) of the Act from sale of shares of Turbotech Engineering Limited is genuine. We therefore respectfully following the same allow the claim of respective assessee(s) u/s.10(38) of the Act and hold that valid claim of long term capital gain has been made by the respective assessee(s) and the same deserves to be allowed. Finding of ld.CIT(A) are reversed. Grounds of appeal raised by the respective assessee (s) on merits are allowed. Remaining grounds being general/consequential needs no adjudication.
In the result, all the appeals of the respective assessee(s) are allowed.
